RENT AND ADDITIONAL RENT. 3.1 Tenant shall pay fixed annual rent (the “Fixed Annual Rent”) at the rates provided for in the schedule annexed hereto and made a part hereof as Exhibit B in equal monthly installments in advance on the first (1st) day of each calendar month during the Term, except that the first (1st) monthly installment of Fixed Annual Rent shall be paid by Tenant upon its execution of this Lease. All sums other than Fixed Annual Rent payable hereunder shall be deemed to be “Additional Rent” and shall be payable within ten (10) days of demand, unless other payment dates are hereinafter provided. Tenant shall pay all Fixed Annual Rent and Additional Rent due hereunder at the office of Landlord or such other place as Landlord may designate, payable in United States legal tender, by cash, or by good and sufficient check drawn on a New York City bank which is a member of the New York Clearing House or a successor thereto, and without any set off or deduction whatsoever. The term “Rent” as used in this Lease shall mean Fixed Annual Rent and Additional Rent. Landlord may apply payments made by Tenant towards the payment of any item of Fixed Annual Rent and/or Additional Rent payable hereunder notwithstanding any designation by Tenant as to the items against which any such payment should be credited.
RENT AND ADDITIONAL RENT. Tenant agrees to pay rent as herein provided at the office of Landlord or such other place as Landlord may designate, payable in United States legal tender, by cash, or by good and sufficient check drawn on a New York City Clearing House Bank, and without any set off or deduction whatsoever. Any sum other than fixed rent payable hereunder shall be deemed additional rent and due on demand.
RENT AND ADDITIONAL RENT. Tenant shall pay the Rent to the Landlord at the Landlord's address. If the Tenant fails to comply with any agreement in this Lease, the Landlord may do so on behalf of the Tenant. The Landlord may charge the cost to comply, including reasonable attorney's fees, to the Tenant as "additional rent". The additional rent shall be due and payable as Rent with the next monthly Rent payment. Non-payment of additional rent shall give the Landlord the same rights against the Tenant as if the Tenant failed to pay the Rent.
RENT AND ADDITIONAL RENT. Tenant shall pay Landlord without notice the Rent stated in Section l(h) hereof and Additional Rent as provided in Section 9 and Section 10 and any other payments due under this Lease without deduction or offset in lawful money of the United States in advance on or before the first day of each month at Landlord's Payment Address set forth in Section l(n) hereof, or to such other party or at such other place as Landlord may hereafter from time to time designate in writing. Rent and Additional Rent for any partial month at the beginning or end of the Lease term shall be prorated in proportion to the number of days in such month. All amounts which Tenant assumes or agrees to pay to Landlord pursuant to this Lease shall be deemed Additional Rent hereunder and, in the event of nonpayment thereof, Landlord shall have all remedies provided for in the case of nonpayment of Rent.
RENT AND ADDITIONAL RENT. Beginning on the Commencement Date, Sublessee shall pay to Sublessor rent at an annual rate of $911,392.00 ("Base Rent"), in equal monthly installments of $75,949.33 (the "Monthly Base Rent") on the first day of each calendar month during the Sublease Term in lawful money of the United States of America, without demand, deduction, offset or abatement. If the Sublease Term includes a partial calendar month at its beginning or end, the monthly installment of Base Rent for such partial month shall be prorated at the rate of 1/30 of the monthly installment for each day in such partial month within the Sublease Term and shall be payable in advance on the first day of such partial month occurring within the Sublease Term. The Base Rent shall be paid to Sublessor at its offices located at 000 Xxxxxxx Xxxx, Xxxxxxxxx, XX 00000, or such other place as Sublessor may designate in writing. Sublessee shall not be required to pay Sublessor the additional rent payable under the Lease for property taxes, insurance, or operating expenses, but Sublessee shall maintain at its expense worker's compensation, liability and property damage, and such other insurance as required under the Lease. Such insurance shall be adequate in all respects to comply with the provisions of the Lease and shall comply with the provisions of Section 12 below. Sublessee shall also be required to provide or contract for its own cleaning services, and Sublessor shall not be required to perform any cleaning services within the Sublet Premises. In addition to the Base Rent, Sublessee shall also pay all charges for all utilities serving the Sublet Premises. Such amounts shall be paid directly to the utility company providing the particular utility service, or, if such service is provided by and billed to Landlord or Sublessor, Sublessee shall pay to each such party, as applicable, the charges for utilities attributable to the Sublet Premises as additional rent hereunder. In addition to Base Rent, Sublessee shall also pay Sublessor, as additional rent hereunder, any charges imposed by Landlord for Sublessee's failure to comply with the provisions of the Lease. Sublessee shall also pay to Sublessor, as additional rent hereunder, all charges for any additional services requested by Sublessee and provided to Sublessee for the portion of the Sublet Premises during the Sublease Term, including, without limitation, charges and fees for alterations and after-hours heating and air-conditioning services. Sublessee shall pay to Sublessor, without deduction, setoff, notice or demand, at The Medicines Company, 0 Xxxxxx Xxx, Xxxxxxxxxx, XX 00000, Attention: Accounts Receivable, or at such other place as Sublessor shall designate from time to time by written notice to Sublessee, the sum of $118,544.30 per month (based upon $3.70 per rentable square foot of the Premises) (“Base Rent”), on the first day of each month of the Term. Sublessee shall pay to Sublessor concurrently with Sublessee’s execution of this Sublease, the sum of $118,544.30 as prepayment of the first month of Base Rent due hereunder. If the Rent Commencement Date falls on a day other than the first day of a month, the Base Rent for the partial months shall be prorated on a per diem basis based on the actual number of days in the month in which the Rent Commencement Date occurs.

3.01 The Tenant shall pay Additional Rent from the Commencement Date without prior demand and without any deduction, abatement, setoff or compensation and if the Commencement Date is not on the first day of a calendar month, or if this Lease does not commence or terminate on the date or dates that each item of Additional Rent that is a monthly or an annual amount is due then the Additional Rent for such proportion of a month or year will be prorated on a per diem basis.
3.02 This Lease is made for and in consideration of a total Rent of one hundred and fifty one thousand six hundred and eighty seven dollars and fifty cents, ($151,687.50), lawful money of Canada which Rent the Tenant binds and obliges itself to pay to the Landlord, its successors and assigns, at its office in Montreal or at such other place or to such other person as may be specified from time to time by the Landlord, as follows: In equal consecutive monthly installments, in advance on the first day of each and every calendar month during the Term in an amount equal to the product obtained by multiplying the Rentable Area of the Premises by seven dollars and fifty cents ($7.50). Provided the Tenant is not in default of Its obligations stipulated in the Lease it shall be entitled to five free months of rent during the Term of the Lease. The first two months of free rent will arise during the first two months of the first year of the Lease; the second two months of free rent will occur on the first two months of the second year of the Lease; the last month of free rent will take place on the first month of the third year of the Lease. 3.03 This Lease is intended to be a completely net lease to the Landlord except as otherwise expressly herein set out and the Landlord will not be responsible for any expenses, costs, charges or outlays of any nature arising from or relating to the Premises, or the use or occupancy thereof, or the contents thereof or the business carried on therein and the Tenant shall pay all charges, impositions, costs, expenses and outlays of every nature and kind relating to the Premises except as otherwise expressly herein set out, including such as may be incurred by or paid by the Landlord on Tenant's behalf.
RENT AND ADDITIONAL RENT. Subject to the exceptions stated in paragraphs 5 and 6 below, Tenant shall pay base rent ("Rent") and its pro rata share of additional rent as that term is defined in the Lease ("Additional Rent"): for the Additional Rental Space. Rent shall be as set forth in the Schedule in Exhibit D attached hereto. The Tenant's pro rata share (or percentage) of Additional Rent shall be equal to the square footage of the Additional Rental Space, as determined after final measurement, divided by 63,156, the total rental area of the Property. (For example, if the Additional Rental Space is determined to be 8,000 square feet, the Tenant's pro rata share of Additional Rent for the Additional Rental Space shall be 8,000 divided by 63,196.)
RENT AND ADDITIONAL RENT. As used in this Lease, the term "rent" shall mean Monthly Rental and additional rent, and the term "additional rent" shall mean all other amounts payable by Tenant to Landlord pursuant to this Lease other than Monthly Rental. All Monthly Rental and additional rent shall be paid without any abatement, demand, deduction, setoff or counterclaim whatsoever in lawful money of the United States which shall be legal tender at the time of payment. Where no other time is stated herein for payment, payment of any amount payable from Tenant to Landlord hereunder shall be due and made, within ten (10) days after Tenant's receipt of Landlord's invoice or statement therefor. Tenant expressly acknowledges that Tenant's covenant to pay rent under this Lease is separate and independent from Landlord's covenant to provide services and other amenities hereunder.
