Subscriber agreements. Firm Participant shall ensure that each Subscriber who will have access to the MARIS System or MARIS Database, enters into a Subscriber agreement with MARIS. Firm Participant is liable for all fees due under each Subscriber agreement.
Subscriber agreements. Firm Participant shall ensure that each Subscriber who will have access to the RMLS System or RMLS Database, enters into a Subscriber agreement with RMLS. Firm Participant is liable for all fees due under each Subscriber agreement.
Subscriber agreements. Firm Participant shall ensure that each Subscriber who will have access to the IRMLS System or IRMLS Database, enters into a Subscriber agreement with IRMLS. Firm Participant is liable to IRMLS and/or Association for all fees due under each Subscriber agreement.
Subscriber agreements. Participant shall ensure that each real estate and appraisal licensee affiliated with Participant, and each non- licensee affiliated with Participant who will have access to the TMLS System or TMLS Database, enters into a Subscriber agreement with TMLS. Participant is liable for all fees due under each Subscriber agreement.
Subscriber agreements. The Parties will cooperate in good faith to identify and implement processes for encouraging purchasers of DCC Vehicles to enter into Subscriber Agreements with HTI, including unless the Parties agree to obtain Subscription Agreements in a different manner, cooperating in efforts to encourage DCC Dealers to assist with the efforts of *** and forwarding *** Subscriber Agreements to HTI. HTI will make Subscriber Agreements available to purchasers or lessees of Enabled Vehicles not later than *** prior to the Commencement Date, notwithstanding that Telematics Services will not be provided to such Enabled Vehicles prior to the Commencement Date. Each Subscriber Agreement will give the Subscriber ***. Additionally, HTI will include in the Subscription Agreement provisions related to the limitation of DCC’s liability to Subscribers, which language shall be ***.
Subscriber agreements. (i) The Parties will cooperate in good faith to identify and implement processes for encouraging purchasers and lessees of Enabled Vehicles and LCT Enabled Vehicles to enter into Subscriber Agreements with HTI, pursuant to Section 3 of this Agreement, including, unless the Parties agree to obtain Subscriber Agreements in a different manner, cooperating in efforts to encourage MBUSA Dealers to assist with the efforts of securing *** Subscriber Agreements to HTI. HTI will make Subscriber Agreements available to purchasers or lessees of Enabled Vehicles ***, notwithstanding that Telematics Services or Approved Other Telematics Services will not be provided to such Enabled Vehicles prior to the Commencement Date.
(ii) HTI shall ensure that the Subscriber Agreements contain all disclosures, notices and consents required by applicable Laws regarding privacy, data collection and use, data sharing, data security, etc. (including those necessary to effectuate the rights set forth in this Agreement, including Exhibit V, and all necessary rights to HTI, MBUSA, either of their call centers and other agents, and Dealers), as such Laws may change from time to time, which changes HTI shall promptly incorporate into the Subscriber Agreements ***. Consent language used to obtain Subscriber consent to the sharing of their personally-identifiable data with third parties for Supplemental Uses shall be reasonably clear, specific and conspicuous to the extent required by applicable Laws ***. HTI shall obtain from all Subscribers pursuant to the Subscriber Agreement, as a condition to the receipt of services thereunder, any consents required by Law for HTI to share Vehicle and Subscriber Data with MBUSA and its Affiliates ***. Additionally, HTI will include in the Subscriber Agreement provisions related to the limitation of MBUSA’s liability to Subscribers ***.
Subscriber agreements. Firm Participant shall ensure that each Subscriber who will have access to the MRED System or MRED Database, enters into a Subscriber agreement with MRED. Firm Participant is liable for all fees due under each Subscriber agreement.
Subscriber agreements. Participant shall ensure that each Subscriber who will have access to the Maine Listings System or Maine Listings Database, enters into an end user license and/or subscriber agreement with Maine Listings. Participant is liable for all fees due under each such agreement.
Subscriber agreements. 12.1 Licensee is responsible for ensuring that all Subscribers execute Subscriber Agreements where required by this Agreement. All rights to use the Information granted to any Subscriber by the Licensee shall be subject to the terms and conditions and comply with any restrictions on Subscriber use of Information specified in this Agreement. Where Subscriber enters into a Subscriber Agreement on behalf of other members of a Subscriber’s Group, Licensee is required to ensure that all members of Subscriber’s Group with access to Information are bound by the Subscriber Agreement. Where a Subscriber Agreement is required under this Agreement, the use of Information by Subscribers without a Subscriber Agreement or under a Subscriber Agreement that is unenforceable for any reason will be regarded by BHB as unauthorized use of Information.
12.2 Subject to clause 12.1 above Subscriber Agreements for Private Use must provide (using substantially similar terms to those set out in this Agreement) that:
a) Subscriber may use the Information only for Subscriber’s own personal use relating to the management of Subscriber’s own personal investments and not for any business purpose.
b) Subscriber may not transfer or publish to third parties any item of Information.
c) Subscriber recognizes the Intellectual Property Rights and the right to legal remedy of BHB in respect of the Information.
d) Subscriber agrees:
i. Not to allow other Persons to gain unauthorized access to the Information,
ii. Not to make Subscriber’s User ID(s) available to another Person,
iii. Not to use Information for any illegal purpose,
iv. To obtain and provide any consents needed for BHB or its authorized representatives to review and receive personal data, where necessary for the purposes of verifying or ensuring compliance with Licensee’s obligations to BHB.
12.3 Subject to clause 12.1 above Subscriber Agreements for Business Use must provide (using substantially similar terms to those set out in this Agreement) that:
a) Subscriber may use the Information solely for Subscriber’s own purposes, or those of Subscriber’s Group. Subscriber may not use Information to calculate indices or price Financial Instruments without the prior agreement of BHB, which may require a supplementary agreement. Subscriber may not transfer or, publish to third parties (any Person outside Subscriber’s Group) all or part of the Information except where allowed to do so by this Agreement or otherwise authorized by BHB.
