Support and Funding. The Company and its Subsidiaries have neither sought, applied for nor received any support, funding, resources or assistance from any federal, state, local or foreign governmental or quasi-governmental agency or funding source in connection with the Exploitation of the Customer Offerings, the Internal Systems or any facilities or equipment used in connection therewith.

Seller has not sought, applied for or received any support, funding, resources or assistance from any Governmental Authority or quasi-governmental agency or funding source in connection with the Exploitation of the Customer Offerings, the Internal Systems or any facilities or equipment used in connection therewith. No Governmental Authority has any claim of right to or ownership of or other Lien on any Seller Owned Intellectual Property or, to Seller’s knowledge, on any Seller Licensed Intellectual Property that is exclusively licensed to Seller in whole or in part.

Except as set forth in Section 2.9(n) of the Disclosure Schedule, the Seller has neither sought, applied for nor received any support, funding, resources or assistance from any federal, state, local or foreign governmental or quasi-governmental agency or funding source in connection with the Exploitation of the Acquired Assets, the Internal Systems or any facilities or equipment used in connection therewith.
Support and Funding. 9.1.1 The Agency and the Council will participate in the running of the Company. In particular:-
