Tax ClearancesThe Holders shall have received a certificate of the appropriate official(s) of the state of organization and each state of foreign qualification of each Obligor certifying as to the payment of taxes by such Obligor in such states.
Tax Clearances. Any clearances and consents that have been applied for in the three (3) years prior to the date of this Agreement by or on behalf of each Group Company (insofar as it had been duly incorporated at the relevant time) from any Taxation Authority have been obtained and were obtained after full and accurate disclosure of all material facts and considerations and nothing has arisen since any such clearance or consent was obtained which would bring into question its validity. The amount of Taxation chargeable on any Group Company during the three (3) years prior to the date of this Agreement has not been affected to any material extent by any concession, agreement or other formal or informal arrangement with any Taxation Authority (not being a concession, agreement or arrangement available to companies generally).
Tax Clearances. Between the date hereof and the Closing Date, the Seller shall obtain and provide to the Buyer all clearance certificates or similar documents that are required by any state, local or other Tax authority in order to relieve the Buyer of any obligation to withhold or escrow any portion of the Purchase Price or otherwise be subject to transferee liability for any Tax liabilities of the Seller.
Tax ClearancesIn accordance with Section 103-53, Hawaii Revised Statutes, if the amount of this Agreement is $25,000 or more, a tax clearance from the Director of Taxation, State of Hawaii and the Internal Revenue Service is required before this subcontract can become effective. Tax clearances are also required prior to the release of final payment.
Tax Clearances. Within a reasonable time after the Closing Date, Seller, at Seller’s expense, shall obtain tax clearance certificates from each U.S. jurisdiction in which Seller files any corporate Tax Returns (to the extent such jurisdiction issues such certificates).

Tax Clearances. The DOR will confirm that the resource is current in paying the previous seven (7) years of Indiana state taxes. If a resource fails to pass the tax clearance, the resource is rejected from consideration for employment with DOR. DOR may conduct annual tax clearances on all Short-Term Temporary Recall resources and Long-Term Temporary resources. (A) The background checks and pre-screening requirements will be completed after the resource has been accepted by DOR and will be performed at no cost to DOR. (B) The Contractor will ensure that all background checks and pre-screening tests are completed prior to the resource commencing work at DOR. (C) The Contractor will obtain a completed Release of Information form from each resource. The Release of lnformation form must be submitted to DOR for the purpose of the tax clearance checks. (D) DOR is to be notified of any negative history and will determine if the resource will pass or fail the background check. This notification is to be directed to the Human Resource (HR) Director or his designee. (E) All background checks, pre-screening tests and Release of Information forms will be maintained by the Contractor for a minimum of one (1) year after the resource in employed by DOR or until the resource is released from employment at DOR, whichever is longer. These documents are subject to audit by DOR. (F) The Contractor will be responsible for collecting the security badge fee from each resource upon employment with DOR. (G) The Contractor will be responsible for refunding the security badge fee to the resource, upon receipt of the security badge, at the time of termination of employment with DOR.
Tax Clearances. All Taxation clearances and consents obtained by the Company from any Taxing Authority were obtained after complete and accurate disclosure of all material facts and considerations.
Tax Clearances. The Disclosure Letter contains details of all transactions, schemes or arrangements in respect of which the Company has been a party or has otherwise been involved in respect of which a statutory clearance application was made, together with copies of all relevant applications for clearances and copies of all clearances obtained pursuant thereto, all such clearances having been obtained on the basis of full and accurate disclosure of all material facts and considerations relating thereto, and all such transactions, schemes or arrangements have been implemented strictly in accordance with the terms of such clearances.
