Technical Milestones. 1. Achieve [technical milestone event #1] on or before [DATE];
2. Achieve [technical milestone event #2] on or before [DATE]; and
3. Achieve [technical milestone event #3] on or before [DATE].
Technical Milestones. Surface shall pay Adimab two technical milestone fees with respect to each Research Program on each Target, as follows:
(i) The first technical milestone fee shall be equal to [***] for each Research Program, and such fee will be paid to Adimab by Surface within [***] business days of the later of (1) [***] and (2) provision by Adimab of an invoice for such payment to Surface; and
(ii) The second technical milestone fee shall be equal to [***] for each Research Program, and such fee will be paid to Adimab by Surface within [***] business days of the later of (1) [***] and (2) provision by Adimab of an invoice for such payment to Surface. In the event that the second technical milestone is met in the initial delivery, or in the event that the second technical milestone is met without payment of the first technical milestone, then, in either case, Surface shall pay both technical milestones.

Pfizer shall pay to MacroGenics the amount set forth below within *** following the first occurrence of each event (each, a “Technical Milestone”) described below for each Research Project Target, each such amount (a “Technical Milestone Payment”) to be payable only once with respect to each different Research Project Target regardless of how many Agreement T-DARTs binding to such Research Project Target achieve such Technical Milestone. *** *** *** *** *** *** If the Technical Milestone set forth in Section 5.3.1(c) is achieved prior to the achievement of the Technical Milestone set forth in Section 5.3.1(a) and/or 5.3.1(b), then the unpaid Technical Milestone Payment set forth in Section 5.3.1(a) and/or 5.3.1(b) shall be due and payable simultaneously with the payment for achievement of the milestone set forth in Section 5.3.1(c). For the avoidance of doubt, in the event that the Technical Milestone set forth in Section 5.3.1(b) is achieved prior to the achievement of the Technical Milestone set forth in Section 5.3.1(a), the Technical Milestone Payment set forth in Section 5.3.1(a) shall not be due or payable simultaneously with the Technical Milestone Payment for achievement of the Technical Milestone set forth in Section 5.3.1(b), but instead shall only be due and payable upon achievement of Technical Milestone Payment set forth in Section 5.3.1(a) or Section 5.3.1.(c).

2. Achieve an average reflectance of 2% or less on 156 x 156 mm monocrystalline silicon wafers using black silicon antireflection control technology coupled with LPD passivation by April 1,2012.
3. Achieve an AM1.5G efficiency of 17.0% or more on a 156 x 156 mm monocrystalline silicon solar cell using black silicon antireflection control technology coupled with LPD passivation and screen printed contacts by August 1,2012.
4. Achieve an AM1.5G efficiency of 18.5% or more on multiple 156 x 156 mm monocrystalline silicon solar cell by July 1,2013.

Technical Milestones. You agree to consult with the Foundation in producing, no later than March 1, 2007, a further defined set of technical milestones specifically with respect to Objective 3, Activities 6 and 7 (“Activities”) as described in Appendix A to the Proposal. Such refined technical milestones will be subject to the Foundation’s approval, and will clarify the go/no-go metrics for initiating the described Activities. You acknowledge and understand that the inability to achieve the refined technical milestones will impact the Project budget, including the Foundation’s obligation to continue paying certain amounts or your allocation of funds to certain activities. Such implications on the Project budget will be established in conjunction with your completing the refinement of the technical milestones.
