Term of Licence. 3.1 This Agreement shall become effective on the Effective Date. The licence granted under Clause 2.1 shall be effective and commence from the date of University’s receipt of full payment of the Licence Issue Fee under Clause 5.1.1 (“Commencement Date”). This Agreement and the licence shall expire concurrently with the last-to-expire Prospective Patent or on the 20th anniversary of the Commencement Date, whichever is the later, unless terminated earlier under the terms of this Agreement (the “Term”).
3.2 In the event that Licensee fails to make full payment of the Licence Issue Fee within the prescribed period under Clause 5.1.1, this Agreement shall be automatically terminated on the expiry of the prescribed period under Clause 5.1.1. University shall not be required to refund any part of the Licence Issue Fee paid by Licensee prior to such termination and Licensee shall not be required to make further payment of the Licence Issue Fee.
Term of Licence. The term of the licence granted under this Agreement will correspond in all respects, including provisions for extension and for early termination, with the term of the Restated Technology Agreement.
Term of Licence. 2.1. The parties agree that the Licence commences on the Commencement Date of this Agreement and expires on the date specified in Part G of Schedule One, unless terminated by either party as set out in this Agreement.
Term of Licence. 4.1 Payment of the Annual Licence Fee or using the Software and Services will constitute your acceptance of the terms and conditions in this Licence Agreement. Your right to use the Software and Services will continue for a term of twelve (12) months or until terminated in accordance with Clause 11.
4.2 Unless terminated earlier in accordance with Clause 11, at the expiry of each twelve (12) month term, this Licence Agreement will terminate and you will not be able to use the Software and Services. To continue using the Services you will need to renew this Licence Agreement for a further term of twelve (12) months and pay the Annual Licence Fee.
Term of Licence. 1.1 The University of Otago as Licensor (hereinafter referred to as “the University”) agrees to grant a Licence to Park in the Park and Ride Park (“the Licence”) to the Licensee for a term from the Commencement Date to the 1st day of February next, and thereafter annually from 1st February in each year until this licence is terminated on the terms and conditions contained in this Agreement.
1.2 The Licence may be terminated at any time by either party giving to the other not less than two weeks notice, in writing.
1.3 The Licensee acknowledges that the University need not provide any reason for termination.
1.4 A permit will be issued which must be displayed on the vehicle when using the Park.
Term of Licence. 2.1 This Licence so granted shall continue until determined by either party giving to the other not less than three month’s written notice of determination as specified in Clauses 2.2, 2.3 and 2.
2.2 In the event that the Agreement is wholly determined either party may determine this Licence by giving not less than three month’s written notice to the other such notice to expire on or at any time after the effective date of determination of the Agreement.
2.3 The Licensee may determine this Licence at any Review Date or within three month’s after the Licence Fee shall have been settled or determined on review by giving not less than one month’s notice to the Licensor.
2.4 Either party may, without prejudice to the provisions of Clauses 2.2 and 2.3, determine this Licence by giving not less than twelve months’ written notice to the other.
2.5 Forthwith upon the giving or the receipt by the Licensee of the notice of determination (or if a period prior to determination shall be specified in the notice, on the expiration of such period) the Licensee shall deliver up to the Licensor the Premises with vacant possession and in a state and condition consistent with the Licensee’s obligations in respect of the Premises herein contained.
Term of Licence. The licence is granted for an unlimited period. The licence becomes automatically void, without the need for termination by AUVESY GmbH, if you violate any part of this contract. Should the contract be terminated, you are obliged to destroy or return versiondog and all available copies and materials supplied with the software to AUVESY GmbH.
Term of Licence. (i) From: am/pm to am/pm on 20
Term of Licence. 2.2.1. This Licence is granted for a period of one (1) year commencing <insert date> and ending on <insert date> (the Initial Term).
2.2.2. Three (3) months prior to the expiration of the Initial Term, the Publisher shall provide the Licensee with a Renewal Notice.
2.2.3. The Licensee shall return a signed copy of the Renewal Notice to the Publisher not less than forty five (45) days before the expiration of the Initial Term.
2.2.4. The Publisher reserves the rights in its absolute discretion to decline any request for renewal, or to grant renewal on different terms.
Term of Licence. 4.1 This agreement commences upon payment of the fee or access is granted to the Location Information Product, whichever occurs first, but may be terminated immediately by Landgate without any notice in the following circumstances:
(a) if the Licensee is in breach of any term of this document and has not remedied the breach within 7 days of being notified;
(b) if the Licensee is wound up, dissolved, becomes insolvent or has a liquidator, provisional liquidator, administrator, receiver, manager or receiver and manager appointed;
(c) if the Licensee fails to comply with clause 5 or 6 of this document;
(d) if the Licensee alters or destroys the integrity of the Location Information Product for any reason; or
(e) if the Licensee’s consultant is in breach of any term of its confidentiality agreement with Landgate.
4.2 Upon termination, the Licensee’s access will cease and the Licensee must:
(a) pay any fee outstanding as if a liquidated debt;
(b) delete and expunge any remaining copies of the Location Information Product or otherwise return or dispose of such material in the manner directed by Xxxxxxxx;
(c) if required, provide to Landgate a written certification specifying that paragraph (b) has been complied with; and
(d) permit Landgate to inspect its systems and records for compliance purposes on receiving 24 hours notice.
4.3 The Licensee may continue to keep one secure copy of the Location Information Product for archiving, statutory and indemnity purposes if notified to Landgate, but may not further use or distribute the Location Information Product.
4.4 Termination will not affect any rights or remedies which Landgate may have otherwise under this document or at law.
