ANNUAL LICENCE FEE. A non-refundable Annual Licence Fee shall be payable by the Authorized Vendor in respect of the provision of any Pricing Data under the terms of this Agreement. The Licence Fee varies depending on the Package(s) that the Authorized Vendor is authorized to redistribute. The annual license fees are payable annually in advance within 30 days of the date of each invoice, the annual fees are payable in January, the first annual payment, if not commencing in January, is payable on a pro-rata basis.

Six months before the expiry of the Licence Term, or at any other time where either party terminates this Agreement in accordance with clause 15, CCDG will notify the Supplier in writing informing them of the same, and setting out the arrangements up to the end of the contract, and informing the Supplier of the support required by CCDG to manage a smooth and orderly transition of the Agreement either to itself, or to a new provider.
