Termination of the Right to Use. Upon termination of this Addendum for any reason, any right to use the System and access to the Data Access Services shall terminate and the Fund shall immediately cease use of the System and the Data Access Services. Immediately upon termination of this Addendum for any reason, the Fund shall return to State Street all copies of documentation and other Proprietary Information in its possession; provided, however, that in the event that either party terminates this Addendum or the Custodian Agreement for any reason other than the Fund’s breach, State Street shall provide the Data Access Services for a period of time and at a price to be agreed upon in writing by the parties.

Should State Street be in possession of information requested by regulatory agencies having jurisdiction over the Customer, State Street will cooperate with the Customer to make such information available to such regulatory agencies for a commercially reasonable time following termination of this Agreement.

Upon termination of this DAS Agreement for any reason, any right to use the System and access to the Data Access Services shall terminate and the Customer and its Authorized Designees shall immediately cease use of the System and the Data Access Services. Immediately upon termination of this DAS Agreement for any reason, the Customer and its Authorized Designees shall return to State Street all copies of documentation and other Proprietary Information in its possession; provided, however, that in the event that either party terminates this DAS Agreement or the Agreement for any reason other than the Customer’s breach, State Street shall provide the Data Access Services for a period of time and at a price to be agreed upon by the parties.

Immediately upon termination of this Addendum for any reason, the Customer and its Authorized Designees shall return to State Street all copies of documentation and other Proprietary Information in its possession and immediately cease access to the System and Data Access Services; provided, however, that in the event that either party terminates this Addendum, the Administrative Services Agreement or the Custodian Agreements for any reason other than the Customer’s breach, State Street shall provide the Data Access Services for a period of time and at a price to be agreed upon by the parties. Customer’s use of any third party System is contingent upon Customer’s and Authorized Designees’ compliance with any terms and conditions of use of such System imposed by such third party and State Street’s continued access to, and use of, such third party System.

Immediately upon termination of this Addendum for any reason, the Customer shall return to State Street all copies of documentation and other Proprietary Information in its possession and State Street shall return to Customer all Customer Data in its possession; provided, however, that in the event that either party terminates this Addendum or the Custodian Agreement for any reason other than the Customer's breach, State Street shall provide the Remote Access Services for a period of time and at a price to be agreed upon by the parties. Termination of the Right to Use. Upon the expiration or termination of this Agreement for any reason, the Distributor shall discontinue the use of the Trademarks, Patents and Copyrights and any related labels, copyrights and other advertising materials and shall remove all signs and displays relating thereto; and, in the event of failure to do so, Supplier may itself remove such sections at the Distributor’s expense, and the Distributor shall have no further rights to the use of said Trademarks, Patents and Copyrights and materials and shall make no claim thereto or against the use thereof in the Territory or elsewhere against Supplier.
