Termination on Certain Events. The MINISTER may, upon the approval of EMRA’s BoD terminate the Exploration License, if any of the following events occur: (a) Failure to pay the rental value or the royalty within sixty (60) days from the due date. (b) Breach of any of the provisions of the Law or its Executive Regulations. (c) Breach of any of the License terms or conditions. (d) Issuance of an enforceable judgement declaring the Company bankrupt. (e) Liquidation, dissolution or expiry of the duration of the licensed Company. (f) Non-commencement of the works subject of the License for a period not exceeding one-month from the date of taking hold of the area for causes attributable to the licensee, or the stoppage of work without a written permission from EMRA, for six consecutive months. (g) Assignment of the License to third parties or subletting the licensed area without EMRA’s written approval. (h) If the licensee stores the extracts in a land outside the borders of the Exploration Area without concluding a lease contract therefor. (i) If it is proved that the licensed area is polluted due to a cause attributable to the licensee and the licensee does not remedy it, in spite of warnings by EMRA. (j) If the licensee submits to EMRA false data or documents established to be falsified. (k) In the case of termination, all the maps and data related to the License shall be the property of EMRA

Termination on Certain Events. Either party may terminate this Agreement with or without notice to the other party in the event the other party dissolves or ceases to transact business, or in the event a bankruptcy proceeding is commenced by or against the other party, a receiver is appointed for all or substantially all of the assets of the other party, or the other party admits in writing its inability to pay its debts as they fall due.
Termination on Certain Events. ‌ BMW may terminate this Agreement immediately upon written notice to Retailer upon the occurrence of any one or more of the following events: (a) the Retailer Agreement terminates or Retailer ceases at any time to be an authorized BMW or MINI retailer, as applicable, (b) the bankruptcy or insolvency of Retailer; the filing against Retailer of a petition in bankruptcy; the making of an assignment for the benefit of creditors of Retailer; the appointment of a receiver, receiver manager, trustee or other similar official for Retailer or any of the assets of Retailer, or the institution by or against Retailer of any other type of insolvency proceeding under the Bankruptcy and Insolvency Act (Canada), the Companies’ Creditors Arrangement Act (Canada) or otherwise, (c) the institution by or against Retailer of any formal or informal proceedings for the dissolution or liquidation or settlement of claims against or winding up of affairs of, Retailer, (d) Retailer ceases or threatens to cease to carry on business, (e) Retailer breaches or fails to perform or observe any covenant, condition or provision of this Agreement or any other agreement with BMW now or hereafter existing, (f) Retailer makes now or at any time hereafter, any statement, representation or warranty in this Agreement or otherwise which is or becomes false or misleading in any material respect, or (g) Retailer (including any of its directors, officers, employees, agents, representatives, or other persons acting or purporting to act on its behalf), either directly or indirectly persuades or induces or attempts to persuade or induce any Customer to cancel or terminate a Protection Product held by such Customer.

Termination on Certain Events. The Government may terminate this Agreement, without prejudice to any other rights that the Government may have, if any of the following events occur: (a) In the event of delay of more than 6 (six) months in achieving any Mine Development Milestone; (b) In the event of delay of more than 6 (six) months in achieving any End Use Plant Development Milestone; (c) In the event the End Use Plant ceases operations for a continuous period of longer than 1 (one) year. It is clarified that this Article is applicable in case the End use Plant is or becomes operational during the term hereof; (d) In the event the [manufacturing] capacity of the End use Plant is lower than 75 % (seventy five percent) of the proposed [manufacturing] capacity of the End use Plant as set forth in Schedule V; In the event there is more than one End Use Plant, then the provisions hereof shall apply equally to all End Use Plants. Thus it will be a termination event in the event of delay of more than 6 (six) months in achieving any End Use Plant Development Milestone in respect of any one or more End Use Plants or in the event any one or more End Use Plants ceases operations for a continuous period of longer than 1 (one) year or in the event the [manufacturing] capacity of any one or more End use Plant is lower than 75 % (seventy five percent) of the proposed [manufacturing] capacity of such End use Plant(s); (e) The Mine Allocatee fails to make a payment when due and then fails to make the said payment within sixty (60) Days after the Government gives a Notice of the failure to make said payment; and (f) The Mine Allocatee dissolves, liquidates, becomes insolvent, commits an act of bankruptcy, makes an assignment for the benefit of creditors, petitions or applies to any tribunal for the appointment of a trustee or receiver for itself, or commences any proceedings concerning itself under a law concerning bankruptcy, or insolvency other than for the purposes of corporate reorganization. Provided however that a terminating Party may extend the period for cure of the relevant breach subject to mutual agreement of the Parties.

(j) If the Company violates the operation conditions and does not remove the violation within sixty (660) days from the date of warning him by EMRA. (k) If it is established that the licensed area is polluted due to a cause attributable to the Company and the Company does not remedy it, in spite of warning him by EMRA or the Competent Body, as the case may be. (l) If the Company submits false data or documents established to be falsified to EMRA or the competent entities, as the case maybe.
