Terms of Registration. The Company shall bear all fees and expenses attendant to registering the Registrable Securities, but the Holder(s) shall pay any and all underwriting and broker-dealer discounts, commissions and non-accountable expenses of any underwriter or broker-dealer selected to sell the Registrable Securities, together with the expenses of any legal counsel selected by the Holder(s) to represent them in connection with the sale of the Registrable Securities. The Company shall cause any registration statement filed pursuant to the demand rights granted hereto to remain effective for a period of sixteen months from the date of the latest balance sheet of the audited financial statements contained therein on the initial effective date of such registration statement.

Terms of Registration. (i) Pursuant to the terms and provisions of this Section 2.1, the Company shall effect two (2) shelf registrations of Registrable Securities in accordance with the following:
(ii) The Company shall effect the first such shelf registration pursuant to Rule 415 of the Securities Act (the "Initial Shelf Registration") in accordance with the following provisions:
(A) in the event that the Company files a registration statement with the Commission and such registration has been declared effective on or before May 1, 2002, then the Company shall have the Initial Shelf Registration declared effective on or prior to the day immediately following the expiration of any "lock-up" period applicable to IMCG, JPMP and AON pursuant to any related underwriting agreement, it being agreed between the Company, IMCG, JPMP and AON that in no event shall such "lock-up" period last longer than ninety (90) days; or
(B) in the event that (1) the Company does not file a registration statement with the Commission or (2) a registration statement has been filed but not declared effective on or before May 1, 2002, then the Company shall have the Initial Shelf Registration declared effective on May 2, 2002.
(iii) The number of Registrable Securities that the Company shall include in the Initial Shelf Registration shall be equal to the difference between (X) the aggregate number of Registrable Securities held by IMCG for the respective account of each of JPMP and AON minus (Y) the sum of (i) the aggregate number of Registrable Securities actually sold by JPMP and AON in a registration effected pursuant to clause (A) above and (ii) the Standstill Shares.
(iv) The Company shall have the second such shelf registration pursuant to Rule 415 of the Securities Act (the "Second Shelf Registration"), contemplated by Section 2.1(a) hereof, declared effective by the Commission on or before February 1, 2003.
(v) The number of Registrable Securities that the Company shall include in the Second Shelf Registration shall be equal to the number of Registrable Securities that were not registered pursuant to the Initial Shelf Registration, but shall in no event be less than the number of Standstill Shares.
Terms of Registration. Any registration of Shares hereunder shall be subject to the terms and conditions of Section 2.1(b), (c), (d), (e) and (f) of the Registration Rights Agreement, with the Shares requested to be so registered hereunder being deemed to be the Registrable Securities for purposes of such provisions. In addition, for purposes of all other Sections of the Registration Rights Agreement, any registration hereunder shall be subject to such provisions as if the registration hereunder were a registration under Section 2.1 of the Registration Rights Agreement. Notwithstanding the foregoing, for purposes of Section 2.8(a), GECC hereby consents to a single registration as provided in this amendment at such time as is elected by JOL. If the managing underwriter of any underwritten offering undertaken pursuant to this amendment shall advise the Company that, in its opinion, the offering should be for not less than 2,096,111 shares and should include a "greenshoe" option for sale of additional shares, the parties consent that GECC may, by written consent, agree to the inclusion of up to 400,000 Shares in the registered offering. Any such additional Shares shall be drawn from the holdings of JOL or, in JOL's discretion, members of the Permal Group designated by JOL.
Terms of Registration. Except as may otherwise be provided in this Article V, shares of Stock will be registered by the Company and offered to the public pursuant to this Article V on the same terms and subject to the same conditions applicable to the registration in a Proposed Registration of shares of Common Stock held by an Investor.
