Terms of Supply. 1.1 Under the NPS, the Seller shall supply the Goods at the instructions of the Buyer during the Validity Period, upon and subject to these Terms and Conditions (“T&Cs”): (a) as stock item in accordance with a Purchase Order to be issued by the Buyer from time to time against the Standing Quotation accepted by the Authority; or (b) as consignment item under the Consignment Stock Scheme. 1.2 The Buyer however, is not bound to purchase any Goods during the Validity Period. The Buyer reserves the right to place orders from more than one seller under the NPS or from other non-NPS sellers.

Terms of Supply. 5.1 Your Purchase Order shall be deemed an offer by You for Kigen to supply, and You to licence, the requested Deliverables in accordance with the terms of this Licence. Your Purchase Order shall be deemed accepted when either Kigen accepts Your order in writing (including by email) or Kigen provides You with access to the requested Deliverables.
Terms of Supply. The Supplier and Distributor will agree on terms of supply of Alliance Products, such as a transfer price at Supplier’s Cost of Goods Sold, as defined in Exhibit 1.13, production and sale forecasts, delivery terms, risk of loss terms, and other ordinary commercial terms. Unless they are the same Party, on the first business day of each calendar month, the Distributor of an Alliance Product will provide to the Supplier of that Alliance Product with a written, rolling estimate of expected dispositions of each model of the Alliance Product and parts thereof for each of the immediately succeeding four (4) calendar quarters. Such estimates will not be binding on the Distributor but will be used by the Supplier for production scheduling. If applicable, the Distributor will promptly provide the Supplier with any material changes to the estimates that may arise before the next monthly estimate.
Terms of Supply. 6.1 The Supplier shall honour its delivery terms as far as possible. The delivery terms specified by the Supplier shall be estimates only, and only provide an indication as they are based on circumstances applicable at the time of the conclusion of the agreement. Accordingly, it is intended that delivery term is not of the essence. If not differently agreed, any order received is intended for ex-works (ICC incoterms) delivery.

The Customer must provide Sandvik with a Security Interest for payment as and when required by Sandvik.
Terms of Supply. (1) The supply of the Products by Biosil to Xxxxxxxxx shall be on an exclusive basis for the Territory. (2) The supply of the Products from Biosil to Xxxxxxxxx shall be governed by Biosil’s terms and conditions of sale as amended from time to time, except in so far as they are inconsistent with the express terms of this Agreement in which ease the terms of this Agreement shall prevail. (3) Without prejudice to Xxxxxxxxx’x right to contract for such work with third parties (other than with Direct Competitors which shall not be permitted under any circumstances) any extra requirements for Biosil to perform including, but not limited to, master file access, testing, biocompatibility studies, validations, information for Registrations, compilation and submission of dossiers, will be by separate agreement and subject to Xxxxxxxxx agreeing to pay an additional charge to Biosil such charge not being less than the actual cost to Biosil of meeting the requirements in question. All sub- contracted work will be charged to Xxxxxxxxx at a price equal to the cost to Biosil plus additional 5%. (4) In consideration of the goods, services and other assistance provided by Biosil to Xxxxxxxxx, at Xxxxxxxxx’x request, up to and including the Commencement Date, Xxxxxxxxx shall pay to the bank account of Biosil (details of which appear below) the aggregate sum of £475,000 in three installments as follows on the dates shown and upon receipt of such payments, Biosil will issue a receipt 118750 Panel Approval Date or 4 January 2002 whichever shall first occur 118750 Approval Date for the United States 237500 Anniversary of the date of this Agreement In the event that this Agreement is lawfully terminated by Biosil or in the event of termination of this Agreement in terms of clause 16(3) before any or all of the installments have become due for payment in terms of the foregoing provisions of this clause then all such sums shall become immediately due for payment without demand by Biosil on the date of termination. Terms of Supply. Delivery term is indicated in the order confirmation. The delivery term shall start from the date of acceptance by the Buyer of Supplier's order confirmation.
