Supply of Goods and/or Services. 3.1 In consideration of payment of the Price by LiftRite, the Supplier must supply the Goods and/or perform the Services in strict accordance with the Purchase Order issued by LiftRite and these Terms.
3.2 To the extent the Supplier's terms and conditions are supplied with the Goods or Services (including as printed on consignment notes or other documents) or provided to LiftRite, those terms and conditions will be of no legal effect and will not constitute part of the Purchase Order (including where any of LiftRite’s Personnel signs those terms and conditions or annexes the terms and conditions to the Purchase Order).
3.3 The Supplier must, in supplying the Goods and/or performing the Services:
(a) not unduly interfere with LiftRite's activities or the activities of any other person at the Delivery Address;
(b) be aware of and comply with and ensure that the Supplier's Personnel are aware of and comply with:
(i) all applicable Laws;
(ii) all Site Standards and Procedures, to the extent that they are applicable to the supply of the Goods or the performance of the Services by the Supplier; and
(iii) all directions and orders given by LiftRite's representatives and agents or any person authorised by Law to give directions to the Supplier;
(c) ensure that the Supplier's Personnel perform all Services in a good and workmanlike manner to a high commercial standard and that all the Supplier’s Personnel entering LiftRite's premises, the Delivery Address or the Site perform all works connected to the provision of the Goods and/or Services in a safe manner in compliance with all Laws and are properly qualified for, and skilled in, the performance of their tasks and do not in any manner whatsoever prejudice the Supplier and LiftRite’s compliance with all Laws, safe and working practices and continuity of work;
(d) provide all information and assistance that LiftRite reasonably requires in connection with any Law in relation to the supply of the Goods or the performance of the Services;
(e) provide all Goods free of any security interest, charge, lien or other encumbrance; and
(f) on request by LiftRite, provide to LiftRite and LiftRite’s Personnel any information and assistance required to identify, evaluate, implement and report on any matter required under any Law in respect of anything used, produced or created in connection with the performance of the Supplier’s obligations under this Agreement.
Supply of Goods and/or Services. 2.1 Supplier will supply the Goods and/or Services to Xxxxx Xxxxx as an independent contractor on a non-exclusive basis, in accordance with the requirements of the PO and subject to this Contract.
2.2 Supplier will perform its obligations under the Contract:
(a) with due care and skill;
(b) to the standard reasonably expected of an experienced and competent provider of goods and services in the nature of the Goods and Services; and
(c) in compliance with all applicable laws and regulations.
2.3 Supplier will comply with the Xxxxx Xxxxx Supplier Guiding Principles, which are published at xxxxx://xxx.xxxxxxxxxxxxxxxxx.xxx/ethics_and_compliance/supplier- guiding-principles.html (as such Principles may be updated from time to time by posting changes on the site) in performing under the Contract.
2.4 Xxxxx Xxxxx is under no obligation to make any further orders from Supplier or to purchase a minimum amount of Goods or Services.
2.5 Before Supplier delivers the Goods or Services, Xxxxx Xxxxx may request changes. If such changes affect Supplier’s ability to perform the Contract, the parties will in good faith negotiate an amendment.
2.6 Supplier will ensure its employees and contractors comply with Xxxxx Heinz’s workplace safety policy and any other safety and security requirements and instructions provided by Xxxxx Xxxxx when on any of Kraft Heinz’s premises or using any of Kraft Heinz’s equipment.
Supply of Goods and/or Services. 2.1 The Supplier shall provide the Goods and/or Services on the terms and conditions set out in the Contract. Subject to the Supplier fulfilling its obligations under the Contract the
2.2 In providing the Goods and/or Services, the Supplier shall comply with and take into account all applicable laws, enactments, orders, regulations and other similar instruments, the requirements of any court with relevant jurisdiction and any local, national or supranational agency, inspectorate, minister, ministry, official or public or statutory person of the government of the United Kingdom or of the European Union insofar as these are applicable to the United Kingdom.
Supply of Goods and/or Services. 3.1 In consideration of the Customer’s agreement to pay the Charges, the Supplier shall supply the Goods and or Services to the Customer for the Term subject to and in accordance with the terms and conditions of the Agreement.
Supply of Goods and/or Services. The Supplier must in supplying the Goods and/or performing the Services:
(a) use the reasonable skill, care and diligence expected of a professional supplier in the relevant field in which the Supplier has been engaged;
(b) supply and deliver the Goods and/or perform the Services by the due date.
(c) ensure it is properly licensed, appropriately equipped, organised and financed to perform all its obligations under the Purchase Order;
(d) not interfere with the Company's activities or the activities of any other person at the delivery address;
(e) comply with (and ensure that the Supplier Personnel comply with):
(i) all applicable Laws;
(ii) all Company Standards and Procedures and any relevant standard of Standards Australia (to the extent that they are applicable to the supply of the Goods and/or the performance of the Services by the Supplier); and
(iii) all lawful directions and orders given by the Company's representative or any person authorised by law to give directions to the Supplier;
(f) ensure that the Supplier's employees, agents, consultants and sub-suppliers entering the Company's premises perform their work activities and are properly qualified for, and skilled in, the performance of their tasks so as not to prejudice:
(i) safe working practices;
(ii) safety and care of property; and
(iii) continuity of the Company's business activities; and
(g) provide all such information and assistance as the Company reasonably requires in connection with any statutory investigation or other matter required by Law in connection with the supply of the Goods and/or the performance of the Services.
Supply of Goods and/or Services. 3.1. In consideration of payment of the Price by the Company, the Supplier must supply the Goods and/or provide the Services to the Company in accordance with, and as specified in, this Contract.
3.2. The Supplier must, in supplying the Goods and/or performing the Services (as applicable):
(a) not interfere with the Company's business or activities or the business or activities of any other person at the Site;
(b) comply with, and ensure that the Supplier's Personnel are aware of and comply with:
(i) all applicable Laws;
(ii) all Site Standards and Procedures, to the extent applicable to the supply of the Goods and/or the performance of the Services (as applicable); and
(iii) all lawful directions and orders given by the Company's representative or any person authorised by Law or the Site Standards and Procedures to give directions to the Supplier;
(c) ensure that the Supplier's Personnel entering the Site perform the Services and/or deliver the Goods in a safe manner and in a way that does not prejudice safe working practices, safety and care of property and continuity of work at the Site;
(d) provide all information and assistance to the Company as the Company reasonably requires in connection with any statutory or internal health and safety, environment or community investigation in connection with this Contract; and
(e) on request by the Company, provide to the Company any information and assistance required to identify, evaluate, implement and report on any matter in connection with this Contract required by Law.
Supply of Goods and/or Services. 3.1 The Customer may order Goods and/or Services from the Supplier either in writing, by telephone, by electronic means or by such other method as the parties may agree from time to time.
3.2 An order for Goods and/or Services constitutes an offer to purchase the Goods and/or Services by the Customer subject to the Sales Conditions from the Supplier. Each order must nominate a delivery point for the Goods and/or Services.
3.3 The Supplier may at its absolute discretion decline any order either in whole or in part.
3.4 The Supplier may from time to time at their absolute discretion vary the Sales Conditions and will notify the Customer accordingly. The Supplier will give notice of any variation by posting an updated version of these Sales Conditions online on the Supplier’s website. Any changes will be effective as at the date they are posted, unless a different effective date is specified. The Customer is responsible for checking for updates to these Sales Conditions, and the Customer’s continued ordering of Goods and/or Services from the Supplier, or acceptance of any Goods and/or Services from the Supplier, constitutes acceptance by the Customer of any notified variation to the Sales Conditions.
3.5 The price of Goods and/or Services comprised in an order is to be calculated by reference to the Supplier's current price list as made available to the Customer from time to time and such other terms as may be agreed by the Customer and the Supplier from time to time.
3.6 Acceptance of an order for Goods by the Supplier takes effect on delivery (and not before) by the Supplier of the subject Goods to the delivery point nominated in the order.
3.7 The Supplier does not undertake to deliver the Goods or provide the Services comprised in an order on any particular date or at any particular time notwithstanding a request by the Customer contained in the order for the Goods.
3.8 The Supplier does not undertake to provide the Services in an order on any particular date or at any particular time notwithstanding a request by the Customer contained in the order for the Services.
Supply of Goods and/or Services a. The Supplier must supply the Goods and/or Services to the delivery address, by the delivery date, in the quantity and conforming to their description overleaf and in accordance with any special instructions. Buyer may purchase Goods and/or Services for the benefit of, and use by, one or more members of the Buyer Group. Time is of the essence in the performance of the Supplier’s obligations under this PO.
b. The Goods must be new and unused, free from any form of security or encumbrance, fit for the purpose for which goods of that kind are commonly supplied or bought (and for any other purpose notified by Buyer), be suitably packed to avoid damage in transit or in storage, be of merchantable quality, be free from defects and comply with all applicable standards and laws. If the Goods are potentially dangerous or hazardous materials, they must be supplied together with applicable all material safety data sheets and all other information and materials specified by Buyer.
c. The Services must be supplied with due care and skill and in accordance with all reasonable directions of Buyer.
d. In supplying the Goods and/or Services, the Supplier must not interfere with Buyer’s activities or the activities of any other person at the delivery address and must comply with all applicable laws (including, in particular, all workplace health and safety law) and any relevant Buyer standards and procedures notified to the Supplier (including, in particular, all health, safety and environmental standards). The Supplier must ensure that each of its Personnel complies with this clause.
Supply of Goods and/or Services. 3.1 The Supplier shall from the date set out in the Purchase Order and for the duration of the Contract provide the Services to MAESTRA in accordance with the terms of the Contract.
3.2 The Supplier shall meet any performance dates for the Services specified in the Purchase Order or that MAESTRA notified to the Supplier. Time is of the essence in relation to any of those performance dates.
3.3 In performing the Services, the Supplier shall:
3.3.1 perform the Services with best care, skill and diligence and in accordance with best practice in the Supplier’s industry, profession or trade.
3.3.2 use personnel who are suitably skilled and experienced to perform tasks assigned to them, and in sufficient number to ensure that the Supplier’s obligations are fulfilled in accordance with the Contract.
3.3.3 where requested by MAESTRA, have the Supplier’s personnel who provide the Services vetted in accordance with MAESTRA ’s vetting requirements;
3.3.4 provide and maintain all equipment, tools and vehicles and such other items as required to provide the Services at the Supplier’s cost.
3.3.5 carry the risk of loss, damage or theft for all equipment, tools and vehicles and such other items as required to provide the Services.
3.3.6 hold all MAESTRA Materials in safe custody at its own risk, and in good condition until returned to MAESTRA, and not dispose or use the MAESTRA Materials other than in accordance with MAESTRA ’s written instructions or authorisations;
3.3.7 not do or omit to do anything which may cause MAESTRA to lose any
3.3.8 licence, authority, consent or permission on which it relies for the purposes of conducting its business and the Supplier acknowledges that MAESTRA may rely on or act on any advice and/or the Services provided]; and
3.3.9 observe all health and safety rules and regulations, codes of conduct, site policies and any other requirements that apply at any of the MAESTRA’s premises.
3.3.10 The Supplier shall ensure full compliance with all applicable laws, regulations, and guidelines in the discharge of their duties under this Contract with MAESTRA. The Supplier agrees to obtain and maintain any necessary licenses, permits, and approvals required for the performance of their obligations, and to provide such documents to MAESTRA. Furthermore, the Supplier shall promptly notify the Company of any non-compliance or potential non- compliance issues and take all necessary corrective actions to remedy such issues.

Supply of Goods and/or Services. 2.1 The Supplier shall provide the Goods and/or Services on the terms and conditions set out in the Contract. Subject to the Supplier fulfilling its obligations under the Contract the Council shall pay the Supplier in accordance with the terms of the Contract.
2.2 In providing the Goods and/or Services, the Supplier shall comply with and take into account all applicable laws,
