The Exceptions Committee. (a) The General Partner shall establish an Exceptions Committee to advise the Partnership (the "Exceptions Committee"). The Exceptions Committee shall be comprised of one representative each of the Government (to be nominated by the Accountant General in the Ministry of Finance) and at least two (the exact amount to be determined by the General Partner, in its sole discretion) other Limited Partners who are not Affiliated with the General Partner and who have made the greatest Capital Commitments. Members of the Exceptions Committee shall serve until they are removed by the General Partner with the consent of a Majority in Interest of the Limited Partners or until they resign. Any vacancy on the Exceptions Committee shall be filled promptly by the General Partner with a representative of a Limited Partner.
