Trademark Use and Quality Control. (i) To the extent Licensor uses any of the Trademarks pursuant to the license granted to it by Licensee under Section 3 hereof, Licensor agrees to list the Trademarks in accordance with good customary trademark practice, and to avoid taking any action that would in any manner impair or detract from the value of the Trademarks, or the goodwill and reputation of Licensee.

Trademark Use and Quality Control i. Licensee agrees to use the Trademark in accordance with good customary trademark practice, and to avoid taking any action that would in any manner impair or detract from the value of the Trademark or the goodwill and reputation of Licensee. Licensee acknowledges Licensor's ownership of the Trademark and related goodwill, both in the Territory and outside the Territory.
Trademark Use and Quality Control. During the License Term, Alliant agrees and acknowledges that: (a) neither Alliant nor its Permitted Sublicensees shall have any interest, right, or title in the Licensed Trademarks other than the Sublicense; (b) neither Alliant nor its Permitted Sublicensees shall obtain any rights in or to the Licensed Trademarks through Alliant’s or its Permitted Sublicensees’ use in connection with the Licensed Products; (c) BioMarin or its licensor (as applicable) is and will continue to be the sole and exclusive owner of all right, title and interest in and to each Licensed Trademarks in any form or embodiment thereof; (d) all goodwill associated with or attached to the Licensed Trademarks arising out of the use thereof by Alliant and its Permitted Sublicensees shall inure to the benefit of BioMarin or its licensor (as applicable); and (e) the quality of the goods provided by Alliant and its Permitted Sublicensees under the Licensed Trademarks shall conform to applicable Laws, including FDA standards for the applicable goods and shall be subject to a once a year independent third party inspection, upon reasonable notice to Alliant, of such goods upon which Licensed Trademarks appear. During the License Term, Alliant shall furnish at its expense samples of packaging materials and other materials bearing the Licensed Trademarks for inspection and analysis as BioMarin may reasonably request.
Trademark Use and Quality Control. During the License Term, BioMarin Acquisition agrees and acknowledges that: (a) neither Licensee nor its Affiliates shall have any interest, right, or title in the Licensed Trademarks other than the License; (b) neither Licensee nor its Affiliates shall obtain any rights in or to the Licensed Trademarks through Licensee's or its Affiliate's use in connection with the Licensed Products; (c) Ascent or its Affiliates, as the case may be, is and will continue to be the sole and exclusive owner of all right, title and interest in and to each Licensed Trademarks in any form or embodiment thereof; (d) all goodwill associated with or attached to the Licensed Trademarks arising out of the use thereof by Licensee and its Affiliates shall inure to the benefit of Ascent or its Affiliate, as applicable; and (e) the quality of the goods provided by Licensee under the Licensed Trademarks shall conform to applicable FDA standards for the applicable goods and shall be subject to a once a year independent third party inspection, upon reasonable notice to Licensee, of such goods upon which Licensed Trademarks appear. Trademark Use and Quality Control. (i) Lil' Drug Store Products agrees to use the Trademark in accordance with good customary trademark practice, and to avoid taking any action that would in any manner impair or detract from the value of the Trademark, or the goodwill and reputation of Columbia; provided, however, Lil' Drug Store Products may modify and/or redesign the labels and other packaging of the Product with Columbia's prior written approval, which approval shall not be unreasonably withheld. Lil' Drug Store Products acknowledges Columbia's ownership of rights to the Trademark and of all related goodwill.

  • Organization and Qualification; Power and Authority; Compliance With Laws; Title to Properties; Event of Default Each Loan Party and each Subsidiary of each Loan Party (i) is a corporation, partnership or limited liability company or unlimited liability company duly organized, validly existing and in good standing under the laws of its jurisdiction of organization, (ii) has the lawful power to own or lease its properties and to engage in the business it presently conducts or proposes to conduct, (iii) is duly licensed or qualified and in good standing in each jurisdiction where the property owned or leased by it or the nature of the business transacted by it or both makes such licensing or qualification necessary, (iv) has full power to enter into, execute, deliver and carry out this Agreement and the other Loan Documents to which it is a party, to incur the Indebtedness contemplated by the Loan Documents and to perform its Obligations under the Loan Documents to which it is a party, and all such actions have been duly authorized by all necessary proceedings on its part, (v) is in compliance in all material respects with all applicable Laws (other than Environmental Laws which are specifically addressed in Section 7.1.15 [Environmental Matters]) in all jurisdictions in which any Loan Party or Subsidiary of any Loan Party is presently or will be doing business except where the failure to do so would not constitute a Material Adverse Change, and (vi) has good and marketable title to or valid leasehold interest in all properties, assets and other rights which it purports to own or lease or which are reflected as owned or leased on its books and records, free and clear of all Liens and encumbrances except Permitted Liens. No Event of Default or Potential Default exists or is continuing.

  • Copyrights, Patents, Trademarks and Licenses, etc The Company and each Subsidiary own or are licensed or otherwise have the right to use all of the material patents, trademarks, service marks, trade names, copyrights, contractual franchises, authorizations and other rights that are reasonably necessary for the operation of their respective businesses, without material conflict with the rights of any other Person. To the best knowledge of the Company, no slogan or other advertising device, product, process, method, substance, part or other material now employed, or now contemplated to be employed, by the Company or any Subsidiary infringes upon any rights held by any other Person. Except as specifically disclosed in Schedule 6.5, no claim or litigation regarding any of the foregoing is pending or, to the knowledge of the Company, threatened, and no patent, invention, device, application, principle or any statute, law, rule, regulation, standard or code is pending or, to the knowledge of the Company, proposed, which, in either case, would reasonably be expected to have a Material Adverse Effect.

  • Covenants Relating to Patents and Trademarks (i) (A) Continue to use each Material Trademark in full force free from any claim of abandonment for non-use, unless such Material Trademark is abandoned or no longer used in the ordinary course of business, (B) maintain as in the past the quality of products and services offered under such Material Trademark, (C) employ such Material Trademark with the appropriate notice of registration, (D) not adopt or use any xxxx which is confusingly similar or a colorable imitation of such Material Trademark unless the Administrative Agent, for the ratable benefit of the Lenders, shall obtain a perfected security interest in such xxxx pursuant to this Security Agreement, and (E) not (and not permit any licensee or sublicensee thereof to) do any act or knowingly omit to do any act whereby any such Material Trademark may become invalidated.

  • Patents, Trademarks, Copyrights, Licenses, Etc Each Loan Party and each Subsidiary of each Loan Party owns or possesses all the material patents, trademarks, service marks, trade names, copyrights, licenses, registrations, franchises, permits and rights necessary to own and operate its properties and to carry on its business as presently conducted and planned to be conducted by such Loan Party or Subsidiary, without known possible, alleged or actual conflict with the rights of others.

All outstanding shares of capital stock of Parent and each of the Borrowers are duly authorized, validly issued, fully paid, and non-assessable and no holder thereof has any enforceable right of rescission under any applicable state or federal securities Laws. Parent and each of the Borrowers are in compliance with all Laws and other legal requirements applicable to their respective business, have obtained all authorizations, consents, approvals, orders, licenses and permits from, and have accomplished all filings, registrations and qualifications with, or obtained exemptions from any of the foregoing from, any Governmental Agency that are necessary for the transaction of their business, except where the failure so to comply, file, register, qualify or obtain exemptions does not constitute a Material Adverse Effect.

  • Patents, Trademarks, Etc Each Borrower and their Subsidiaries owns, possesses, or has the right to use all necessary Patents, licenses, Trademarks, Copyrights, permits and franchises to own its properties and to conduct its business as now conducted, without known conflict with the rights of any other Person. Any and all obligations to pay royalties or other charges with respect to such properties and assets are properly reflected on the financial statements described in Section 4.1.11 (Financial Condition).

The Company and its Subsidiaries have taken reasonable security measures to protect the secrecy, confidentiality and value of all of their intellectual properties, except where failure to do so could not, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect.
