Transfer Assistance Services. (a) Availability. As part of the Services, and pursuant to the rates and Charges provided for herein, Insurdata shall provide to UICI or UICI's designee the Transfer Assistance Services in this Agreement. (i) Insurdata shall provide such Transfer Assistance Services to UICI or its designee (i) commencing up to six (6) months prior to the expiration of the Term or on such earlier date as UICI may request and continuing for up to six (6) months following the effective date of the expiration of the Term (as such effective date may be extended pursuant to Section 3.2), (ii) commencing upon any notice of termination of the Term with respect to all of the Services, and continuing for up to six (6) months following the effective date of such termination (as such effective date may be extended pursuant to Section 20.4), (iii) commencing upon notice of termination of the Services to an Eligible Recipient no longer Controlled by UICI and continuing for up to six (6) months following the effective date of such termination (as such effective date may be extended pursuant to Section 20.4), provided such Eligible Recipient agrees to the terms and conditions hereof and subject to additional costs associated with delivery of the Transfer Assistance Services, including software licenses, transition and separation expenses, and (iv) commencing upon notice from UICI or an Eligible Recipient that UICI or such Eligible Recipient no longer desires Insurdata to provide all or any portion of the Services. (ii) Insurdata shall provide Transfer Assistance Services to UICI or its designee regardless of the reason for the expiration or termination of the Term; provided that if the Agreement is terminated by Insurdata under Section 20.1(b) or (c) for UICI's default, Insurdata may require UICI to (i) pay in advance for Transfer Assistance Services provided or performed under this Section 4.2, (ii) pay all outstanding undisputed Charges, and (iii) establish an escrow account based on mutually agreed terms to ensure payment of future Charges. (iii) To the extent UICI requests Transfer Assistance Services, such Services shall be provided subject to and in accordance with the terms and conditions of this Agreement. Insurdata shall perform the Transfer Assistance Services with at least the same degree of accuracy, quality, completeness, timeliness, responsiveness and cost-effectiveness as it provided and was required to provide for the same or similar Services during the Term. Transfer Assistance Services. In the event of termination of this CSA or upon request by PGx, SPT shall, for a period of [*] years after any such event, provide any cooperation reasonably requested by PGx (including any on-site visits) that may be required to facilitate the technology necessary for the transfer of the manufacture of Product and related analytics to PGx or its designee (“Transfer Assistance Services”). PGx shall reimburse SPT for the reasonable costs and expenses associated with such Transfer Assistance Services, provided that such costs and expenses are described in reasonable detail and set forth in the Transfer Plan (defined below). The Transfer Assistance Services include development of the Transfer Plan under Section 13.2 and the reasonable costs and expenses of preparing the Transfer Plan shall be fully reimbursed to SPT pursuant to a work order or scope of work to be added to the MSA between the Parties in advance.

  • Routing for Operator Services and Directory Assistance Traffic For a Verizon Telecommunications Service dial tone line purchased by CBB for resale pursuant to the Resale Attachment, upon request by CBB, Verizon will establish an arrangement that will permit CBB to route the CBB Customer’s calls for operator and directory assistance services to a provider of operator and directory assistance services selected by CBB. Verizon will provide this routing arrangement in accordance with, but only to the extent required by, Applicable Law. Verizon will provide this routing arrangement pursuant to an appropriate written request submitted by CBB and a mutually agreed-upon schedule. This routing arrangement will be implemented at CBB's expense, with charges determined on an individual case basis. In addition to charges for initially establishing the routing arrangement, CBB will be responsible for ongoing monthly and/or usage charges for the routing arrangement. CBB shall arrange, at its own expense, the trunking and other facilities required to transport traffic to CBB’s selected provider of operator and directory assistance services.

Evaluations for Probationary and Ineffective Teachers:

  • Payments for Distribution Assistance and Administrative Support Services (a) Payments to the Distributor. In consideration of the payments made by the Fund to the Distributor under this Plan, the Distributor shall provide administrative support services and distribution services to the Fund. Such services include distribution assistance and administrative support services rendered in connection with Shares (1) sold in purchase transactions, (2) issued in exchange for shares of another investment company for which the Distributor serves as distributor or sub-distributor, or (3) issued pursuant to a plan of reorganization to which the Fund is a party. If the Board believes that the Distributor may not be rendering appropriate distribution assistance or administrative support services in connection with the sale of Shares, then the Distributor, at the request of the Board, shall provide the Board with a written report or other information to verify that the Distributor is providing appropriate services in this regard. For such services, the Fund will make the following payments to the Distributor:

  • Directory Assistance 72.1 The Parties acknowledge that CenturyLink is not a Directory Assistance (DA) provider. CenturyLink provides directory listings information for its subscribers to third party DA providers to be included in the national and local databases used by such third party providers. The Parties agree that to the extent the DA provider contracted by CLEC for DA services to CLEC’s subscribers also populates the national DA database, then CLEC’s DA listings have been made available to CenturyLink’s subscribers and no further effort is needed by either Party. If for any reason, CLEC desires that CenturyLink act as a middleman conduit for the placement of CLEC’s DA listings in the DA database(s), then CenturyLink shall provide such compensable DA listings service pursuant to separate written terms and conditions between CenturyLink and CLEC which will be attached to this Agreement as an Amendment.

  • Hospice Services Services are available for a Member whose Attending Physician has determined the Member's illness will result in a remaining life span of six months or less.

  • Ambulance Services Ground Ambulance Air and Water Ambulance

  • Technical Assistance DFPS may provide informal support, guidance, clarification, and other forms of technical assistance via phone, email, and virtual meeting to resolve Grant or performance compliance issues. Grantee will document all such instances of technical assistance by DFPS in writing, including any implementation work.
