UK Link. (a) As between the CDSP and Customers, all IPR in UK Link, including any additions, developments and enhancements to UK Link created by or on behalf of the CDSP (the UK Link Enhancements) shall be owned by (or, in the case of UK Link Gemini, licensed to) the CDSP, excluding, for the avoidance of doubt, the IPR in any data, which is governed by the other provisions of this Clause 7. The CDSP shall procure that it owns, or is licensed to use in the provision of the DSC Services, UK Link and any UK Link Enhancements. (b) The CDSP hereby grants to each Customer a non-exclusive licence to access and use such parts of UK Link as are required to use, access and receive the Services on, and subject to, the terms specified in the UK Link Manual, GTD Section D5 and the DSC.

UK Link. 4.1 The CDSP shall (or shall procure that third parties shall) establish and operate such parts of UK Link as are necessary for the CDSP to provide, and for the Customer to receive, the UK Link User Services. 4.2 The CDSP shall permit the Customer to access and use such parts of UK Link as are necessary for the Customer to (as appropriate) use, access and receive the UK Link User Services in accordance with Clause 5.7(b). 4.3 Each Party shall, at all times, comply with the applicable provisions of the UK Link Manual. In the event that the Customer fails to do so, the CDSP shall be entitled to exercise its rights pursuant to the UK Link Manual in connection with the Customer failure to comply with the provisions of the UK Link Manual. 4.4 Except to the extent expressly set out in this Agreement or the Parties may agree otherwise in writing: (a) as between the Parties, the UK Link User Equipment shall remain the property of the CDSP and the Customer shall not have or obtain any right, title or interest in or to any UK Link User Equipment; and (b) from the date of delivery of the UK Link User Equipment to the Customer or its nominee until such time as the UK Link User Equipment is returned to the CDSP pursuant to this Agreement, the Customer shall: (i) be responsible for the safe custody of the UK Link User Equipment; and (ii) keep the UK Link User Equipment in good condition, free from damage and insured for the total value of the UK Link User Equipment (as notified to the Customer by the CDSP from time to time) against all usually insured risks (including third party liability).

UK Link. 6.1 The CDSP shall (or shall procure that third parties shall) efficiently, economically and effectively establish and operate UK Link. 6.2 The CDSP shall permit a Customer to access and use UK Link in accordance with Clause 7.7(b). 6.3 Each Party shall, at all times, comply with the provisions of the UK Link Manual. In the event that a Customer fails to do so, the CDSP shall be entitled to exercise its rights pursuant to the UK Link Manual in connection with a Customer failure to comply with the provisions of the UK Link Manual. 6.4 Each Customer acknowledges and agrees that (subject to the further provisions of the DSC) the CDSP may from time to time permit third parties to access and use UK Link in accordance with the UK Link Manual.

  • WSIB & LTD An Employee who is receiving benefits under the Workplace Safety and Insurance Act, or under an LTD plan, is not entitled to benefits under a school board’s sick leave and short-term disability plan for the same condition unless the employee is on a graduated return to work program then WSIB/LTD remains the first payor. For clarity, where an employee is receiving partial benefits under WSIB/LTD, they may be entitled to receive benefits under the sick leave plan, subject to the circumstances of the specific situation. During the interim period from the date of the injury/incident or illness to the date of the approval by the WSIB/LTD of the claim, the employee may access sick leave and short-term leave and disability coverage. A reconciliation of sick leave deductions made and payments provided, will be undertaken by the school board once the WSIB/LTD has adjudicated and approved the claim. In the event that the WSIB/LTD does not approve the claim, the school board shall deal with the absence consistent with the terms of the sick leave and short-term leave and disability plans.

  • Italy If the Territory is Italy, the MicroStrategy contracting entity on the order is MicroStrategy Italy S.r.l., with offices at Corso Italia 13, 20122, Milan, Italy, with tax identification number 12313340155, and the following terms apply: (a) The Governing Law will be the laws of Italy; and (b) any disputes, actions, claims or causes of action arising out of or in connection with this Agreement or the parties’ relationship under it will be subject to the exclusive jurisdiction of the courts of Milan; and (c) the second sentence of the “Notices” section of the General Terms is deleted and replaced with the following: “You will provide notices to: MicroStrategy Italy, S.r.l. Attention: Legal Representative, at Corso Italia 13, 20122, Milan, Italy; email: xxxxxxxx@xxxxxxxxxxxxx.xxx“; and (d) references to “CPI” in the Agreement will be deemed to refer to “Italy CPI.”

  • Data Security The Provider agrees to utilize administrative, physical, and technical safeguards designed to protect Student Data from unauthorized access, disclosure, acquisition, destruction, use, or modification. The Provider shall adhere to any applicable law relating to data security. The provider shall implement an adequate Cybersecurity Framework based on one of the nationally recognized standards set forth set forth in Exhibit “F”. Exclusions, variations, or exemptions to the identified Cybersecurity Framework must be detailed in an attachment to Exhibit “H”. Additionally, Provider may choose to further detail its security programs and measures that augment or are in addition to the Cybersecurity Framework in Exhibit “F”. Provider shall provide, in the Standard Schedule to the DPA, contact information of an employee who XXX may contact if there are any data security concerns or questions.

  • Foreign-Owned Companies in Connection with Critical Infrastructure If Texas Government Code, Section 2274.0102(a)(1) (relating to prohibition on contracts with certain foreign-owned companies in connection with critical infrastructure) is applicable to this Contract, pursuant to Government Code Section 2274.0102, Contractor certifies that neither it nor its parent company, nor any affiliate of Contractor or its parent company, is: (1) majority owned or controlled by citizens or governmental entities of China, Iran, North Korea, Russia, or any other country designated by the Governor under Government Code Section 2274.0103, or (2) headquartered in any of those countries.
