UNDERTAKINGS OF THE EMPLOYEE. 4.1 The Employee undertakes to devote all her working time for the purpose of performing the Position, to the extent of the work stated in clause 3.1 above, and will apply all her energies, skills, knowledge and experience to her employment in the Company, carry out her work in the Company professionally, devotedly and diligently, faithfully act vis-à-vis the Company and use her best endeavours to promote the business and affairs of the Company.

UNDERTAKINGS OF THE EMPLOYEE. The Employee agrees to spend his full working time and effort in performance of the duties as Chief Executive Officer so long as employed by the Corporation; and he shall not, during his employment with the Corporation, without prior written approval of the Board of Directors of the Corporation, become an employee, director, officer, agent, partner of or consultant to, or a stockholder of (except a stockholder of a public company in which the Employee owns less than 5% of the issued and outstanding capital stock of such corporation) any corporation or other business entity which is a significant competitor, supplier or customer of the Corporation. Notwithstanding the foregoing, the Employee may serve on such corporate and civic boards and attend to personal and family business matters during the Employment Term, provided that any such service on a corporate board shall be approved in advance by the Board of Directors of the Corporation.

  • Obligations of the Employee Except on behalf of the Employer, the Employee agrees (a) to hold Company Information in strictest confidence, and (b) not to use, duplicate, reproduce, distribute, disclose or otherwise disseminate Company Information or any physical embodiments thereof and may in no event take any action causing or fail to take any action necessary in order to prevent any Company Information from losing its character or ceasing to qualify as Confidential Information or a Trade Secret. In the event that the Employee is required by law to disclose any Company Information, the Employee will not make such disclosure unless (and then only to the extent that) such disclosure is required by law and then only after prior written notice is given to the Employer when the Employee becomes aware that such disclosure has been requested and is required by law. This Section 5 will survive the termination of this Agreement with respect to Confidential Information for so long as it remains Confidential Information, but for no longer than three (3) years following termination of this Agreement, and this Section 5 will survive termination of this Agreement with respect to Trade Secrets for so long as is permitted by the then-current Maryland Trade Secrets Act.
