Unsatisfactory Credit Status. If Seller determines in its sole discretion that Buyer’s financial condition or creditworthiness is inadequate or unsatisfactory, then in addition to Seller’s other rights, Seller may without liability or penalty take any of the following actions: (a) accelerate all amounts owed by Buyer to Seller under this Agreement and any Individual Transaction; (b) on seven day’s prior written Notice, modify the payment terms specified in Section 5.3 for outstanding and future Individual Transactions, including requiring Buyer to pay cash in advance; (c) cancel any previously accepted Orders; (d) delay any further shipment of Goods to Buyer; (e) on seven day’s prior written notice, terminate this Agreement; or

If, at any time, IMMY determines in its sole discretion that Buyer’s financial condition or creditworthiness is inadequate or unsatisfactory, then in addition to IMMY’s other rights under this Agreement, at law, or in equity, IMMY may without liability or penalty, take any of the following actions: (a) immediately modify the payment terms for outstanding and future purchases, including requiring Buyer to pay cash in advance or cash on delivery; (b) reject any Purchase Order received from Buyer; (c) cancel any previously accepted Purchase Orders; (d) delay any further shipment of Goods to Buyer; (e) stop delivery of any Goods in transit in the possession of a common carrier or bailee and cause the Goods in transit to be returned to IMMY; (f) immediately terminate this Agreement; or (g) accelerate the due date of all amounts owed by Buyer to IMMY. No actions taken by IMMY under this paragraph (nor any failure of IMMY to act under this paragraph) constitute a waiver by IMMY of any of its rights to enforce Buyer’s obligations under this Agreement, including the obligation of Buyer to make payments as required under this Agreement. For purposes of this paragraph “Control” (and with correlative meanings, the terms “Controlled by” and “under common Control with”) means, regarding any Person, the possession, directly or indirectly, of the power to direct or cause the direction of the management or policies of another Person, whether through the ownership or voting securities, by contract, or otherwise.
Unsatisfactory Credit Status. If Asia Shipping USA determines in its sole discretion that “Client”'s financial condition or creditworthiness is inadequate or unsatisfactory, then in addition to Asia Shipping USA 's other rights, Asia Shipping USA may without liability or penalty take any of the following actions: (i) accelerate all amounts owed by “Client” to Asia Shipping USA under this Agreement; (ii) modify the payment terms specified in this Section for outstanding and future Services, including requiring “Client” to pay cash in advance; (iii) cancel any previously accepted Services; (iv) terminate this Agreement effective immediately; or (v) any combination of the above. No actions taken by Asia Shipping USA under this Section (nor any failure of Asia Shipping USA to act under this Section) constitute a waiver by Asia Shipping USA of any of its rights to enforce “Client”'s obligations under this Agreement including, but not limited to, the obligation of “Client” to make payments as required under this Agreement. Unsatisfactory Credit Status. If Buyer becomes bankrupt or insolvent, or a proceeding is brought by or against Buyer under such laws, then in addition to BMA’s other rights, BMA may without liability or penalty take any of the following actions: (i) accelerate all amounts owed by Buyer to BMA under the Agreement or any accepted purchase order, (ii) cancel any previously accepted purchase order, (iii) delay any further shipment of Goods to Buyer or performance of Services by BMA, or (iv) any combination of above. Buyer shall reimburse BMA for any costs incurred by BMA as a result of BMA taking any of these actions. BMA reserves the right to ship and to make collection by sight draft.

You shall furnish Diono with such information accurately and fairly evidencing your financial condition as Xxxxx may, from time to time, reasonably request. If, at any time, Xxxxx determines in its sole but reasonable discretion that your financial condition or creditworthiness is inadequate or unsatisfactory, then in addition to Xxxxx’s rights under this Agreement, at law or in equity, Diono may without liability or penalty, take any of the following actions: (a) modify the payment terms described above for outstanding and future purchases, including requiring you to pay cash in advance or cash on delivery; (b) reject any order received from you or cancel any previously accepted order; (c) delay any further shipment of Products to you and stop delivery of any Products in transit in the possession of a common carrier or bailee and cause the Products in transit to be returned to Diono; (d) immediately terminate any order or this Agreement; or (e) accelerate the due date of all amounts owing by you to Diono. No actions taken by Xxxxx under this Section (nor any failure to act under this Section) constitute a waiver by Xxxxx of any of its rights to enforce your obligations under this Agreement, including your obligation to make payments as required under this Agreement.
