Unsatisfactory Credit Status. If Seller determines in its sole discretion that Buyer’s financial condition or creditworthiness is inadequate or unsatisfactory, then in addition to Seller’s other rights, Seller may without liability or penalty take any of the following actions:
(a) accelerate all amounts owed by Buyer to Seller under this Agreement and any Individual Transaction; (b) on seven day’s prior written Notice, modify the payment terms specified in Section 5.3 for outstanding and future Individual Transactions, including requiring Buyer to pay cash in advance; (c) cancel any previously accepted Orders; (d) delay any further shipment of Goods to Buyer; (e) on seven day’s prior written notice, terminate this Agreement; or
Unsatisfactory Credit Status. Customer shall furnish Xxxxxxxx with statements evidencing Customer’s financial condition xx Xxxxxxxx may, from time to time, reasonably request, and shall notify Xxxxxxxx immediately of any and all events that may have a material adverse effect on Customer’s business or financial condition. If Xxxxxxxx determines in its sole discretion that Customer’s financial condition or creditworthiness is inadequate or unsatisfactory, then in addition to Xxxxxxxx’x other rights, Xxxxxxxx may without liability or penalty take any of the following actions:
(a) require that Customer provide a standby letter of credit satisfactory to Xxxxxxxx in its sole discretion;
(b) accelerate all amounts owed by Customer to Xxxxxxxx under this Agreement;
(c) modify the payment terms specified in Section 14 (Payment Terms) for outstanding and future Orders, including requiring Customer to pay cash in advance;
(d) cancel any previously accepted Orders;
(e) delay any further shipment of Goods to Customer;
(f) terminate this Agreement; or
(g) any combination of the above. No actions taken by Xxxxxxxx under this Section 17 (nor any failure of Xxxxxxxx to act under this Section 17) shall constitute a waiver by Xxxxxxxx of any of its rights to enforce Customer’s obligations under this Agreement including, but not limited to, the obligation of Customer to make payments as required under this Agreement.

Each issuance of a Purchase Order to Supplier constitutes Reseller s representation and warranty that Reseller can pay for the Products identified in the Purchase Order in accordance with the terms of this Agreement. Reseller shall furnish Supplier with such statements accurately and fairly evidencing Reseller s financial condition as Supplier may, from time to time, reasonably request. Throughout the term, Reseller shall be in compliance with all loan covenants and other obligations to its lenders. Reseller shall Notify Supplier immediately of any and all events that have had or may have a material adverse effect on Reseller s business or financial condition, including any change in management, sale, lease or exchange of a material portion of Reseller s assets, a change of Control or ownership, or breach of any loan covenants or other material obligations of Reseller to its lenders. If, at any 13 time, Supplier determines in its sole but reasonable discretion that Reseller s financial condition or creditworthiness is inadequate or unsatisfactory, then in addition to Supplier s other rights under this Agreement, at law or in equity, Supplier may without liability or penalty, take any of the following actions: (a) on thirty (30) day s prior written Notice, modify the payment terms specified in Section 10.03 for outstanding and future purchases, including requiring Reseller to pay cash in advance or cash on delivery;
Unsatisfactory Credit Status. Each issuance of a Purchase Order to IMMY constitutes Buyer’s representation and warranty that Buyer can pay for the Goods identified in the Purchase Order in accordance with the terms of this Agreement. Buyer shall furnish IMMY with such statements accurately and fairly evidencing Buyer’s financial condition as IMMY may, from time to time, reasonably request. Throughout the term, Buyer shall be in compliance with all loan covenants and other obligations to its lenders. Buyer shall Notify IMMY immediately of any and all events that have had or may have a material adverse effect on Buyer’s business or financial condition, including any change in management, sale, lease, or exchange of a material portion of Buyer’s assets, a change of Control or ownership, or breach of any loan covenants, or other material obligations of Buyer to its lenders. If, at any time, IMMY determines in its sole discretion that Buyer’s financial condition or creditworthiness is inadequate or unsatisfactory, then in addition to IMMY’s other rights under this Agreement, at law, or in equity, IMMY may without liability or penalty, take any of the following actions:
(a) immediately modify the payment terms for outstanding and future purchases, including requiring Buyer to pay cash in advance or cash on delivery; (b) reject any Purchase Order received from Buyer; (c) cancel any previously accepted Purchase Orders; (d) delay any further shipment of Goods to Buyer; (e) stop delivery of any Goods in transit in the possession of a common carrier or bailee and cause the Goods in transit to be returned to IMMY;
Unsatisfactory Credit Status. If Asia Shipping USA determines in its sole discretion that “Client”'s financial condition or creditworthiness is inadequate or unsatisfactory, then in addition to Asia Shipping USA 's other rights, Asia Shipping USA may without liability or penalty take any of the following actions: (i) accelerate all amounts owed by “Client” to Asia Shipping USA under this Agreement; (ii) modify the payment terms specified in this Section for outstanding and future Services, including requiring “Client” to pay cash in advance; (iii) cancel any previously accepted Services; (iv) terminate this Agreement effective immediately; or (v) any combination of the above. No actions taken
Unsatisfactory Credit Status. If Buyer becomes bankrupt or insolvent, or a proceeding is brought by or against Buyer under such laws, then in addition to BMA’s other rights, BMA may without liability or penalty take any of the following actions:
(i) accelerate all amounts owed by Buyer to BMA under the Agreement or any accepted purchase order, (ii) cancel any previously accepted purchase order, (iii) delay any further shipment of Goods to Buyer or performance of Services by BMA, or (iv) any combination of above. Buyer shall reimburse BMA for any costs incurred by BMA as a result of BMA taking any of these actions. BMA reserves the right to ship and to make collection by sight draft.
Unsatisfactory Credit Status. If, at any time, Daktela determines in its sole discretion that Customer's financial condition or creditworthiness is inadequate or unsatisfactory, then in addition to Daktela's other rights under the Agreement, at law, or in equity, Daktela may without liability or penalty, on notice modify the payment terms for outstanding and future purchases, including requiring Customer to pay in advance, and accelerate the due date of all amounts owing by Customer to Daktela, or delay any further provision of Service to the Customer.
Unsatisfactory Credit Status. Customer shall furnish WSECO with statements evidencing Customer’s financial condition as WSECO may, from time to time, reasonably request, and shall notify WSECO immediately of any and all events that may have a material adverse effect on Customer’s business or financial condition. If WSECO determines in its sole discretion that Customer’s financial condition or creditworthiness is inadequate or unsatisfactory, then in addition to WSECO’s other rights, WSECO may without liability or penalty take any of the following actions:
a. require that Customer provide a standby letter of credit satisfactory to WSECO in its sole discretion;
b. accelerate all amounts owed by Customer to WSECO under this Service Agreement;
c. modify the payment terms specified in Section 5 (Payment Terms) for outstanding and future Orders, including requiring Customer to pay cash in advance;
d. cancel any previously accepted Orders;
x. xxxxx any further shipment of Services and Goods to Customer;
f. terminate this Service Agreement; or
g. any combination of the above.
Unsatisfactory Credit Status. Buyer shall furnish Seller with statements evidencing Xxxxx's financial condition as Seller may, from time to time, reasonably request, and shall notify Seller immediately of any and all events that may have a material adverse effect on Buyer's business or financial condition. If Se11er determines in its sole discretion that Xxxxx's financial condition or creditworthiness is inadequate or unsatisfactory, then in addition to Se11er's other rights, Seller may without liability or penalty take any of the following actions:
(a) accelerate a11 amounts owed by Buyer to Se11er under this Agreement and any Individual Transaction;
(b) on written Notice, modify the payment terms specified in Section Section
Unsatisfactory Credit Status. Each issuance of an order to Diono constitutes your representation and warranty that you can pay for the Products identified therein in accordance with the terms of this Agreement. You shall furnish Diono with such information accurately and fairly evidencing your financial condition as Xxxxx may, from time to time, reasonably request. Throughout the term of any order, you shall be in compliance with all loan covenants and other obligations to its lenders. You shall notify Xxxxx immediately of any and all events that have had or may have a material adverse effect on your business or financial condition, including any change in management, sale, lease or exchange of a material portion of your assets, a change of control of ownership, or breach of any loan covenants or other material obligations of you to your lenders. If, at any time, Xxxxx determines in its sole but reasonable discretion that your financial condition or creditworthiness is inadequate or unsatisfactory, then in addition to Xxxxx’s rights under this Agreement, at law or in equity, Diono may without liability or penalty, take any of the following actions: (a) modify the payment terms described above for outstanding and future purchases, including requiring you to pay cash in advance or cash on delivery; (b) reject any order received from you or cancel any previously accepted order; (c) delay any further shipment of Products to you and stop delivery of any Products in transit in the possession of a common carrier or bailee and cause the Products in transit to be returned to Diono; (d) immediately terminate any order or this Agreement; or (e) accelerate the due date of all amounts owing by you to Diono. No actions taken by Xxxxx under this Section (nor any failure to act under this Section) constitute a waiver by Xxxxx of any of its rights to enforce your obligations under this Agreement, including your obligation to make payments as required under this Agreement.
