Use of Third Party Services. Pershing may, at its reasonable option, and consistent with common industry practice, retain one or more independent data processing or other service bureaus to perform functions (including, but not limited to, pricing services or proxy mailing services) assigned to Pershing under this Agreement.

Use of Third Party Services. From time to time The Company may use third parties to provide some of their services and the functions as found on the Platform. These third parties have disclaimed all liabilities toward as much as possible. The Company shall hold no liability as to those third parties and in the event of catastrophic failure by the Third Party you hereby grant an irrevocable power of attorney to act on your behalf. Acting on your behalf shall constitute the recovery and restitution of any and all damages or losses caused by the deliberate act or omission including gross negligence. The Company does not operate or maintain all aspects of the Network, and as such, The Company has no responsibility or liability for the Network or any ability to control third parties’ use of the Network.

Your use of these third party services may be subject to the separate policies, terms of use, and fees of these third parties.
Use of Third Party Services a. UW uses a third-party survey service for the administration of the NSCI, which is hosted on cloud-based servers (AWS). Once the annual NSCI administration closes, we use a secure transfer process to move the student survey responses to our secure server at UW, where we clean the data prior to performing your SITE Evaluation and creating the NSCI Dataset. Once we verify the integrity of the SITE Evaluation Data on our servers, we work with our survey provider to remove/destroy the student survey responses from their system.
b. SITE acknowledges that UW’s use of the third-party survey service is necessary for the administration of the NSCI. By registering for the NSCI, you are agreeing to our use of our third-party survey service hosted on cloud-based servers. We will provide you with additional information about our third-party survey service security details upon your request.
c. UW shall require its third-party survey service to process all NSCI data in the United States.
d. UW shall prohibit its third-party survey service from accessing, using, copying or transferring any student survey responses for any purpose, except for the limited purpose of ensuring quality administration of the NSCI.
e. UW shall include information in its student consent forms about the use of our third-party survey service hosted on cloud-based servers.
Use of Third Party Services. 8 If the XXX wishes to use Third Party Services, even where such engagement seems compliant with Sections 9 through 11, any such use must comply with the FSB Recommendation No 6. The XXX understands and agrees that FSB Recommendation No. 6 is a fundamental pillar of the GLEIS, and that GLEIF is obliged and committed to strictly enforce it.

Except as stated in this subparagraph, Pershing shall not be responsible for any losses, damages, liability, or expenses claimed by Broker or its customers arising from any such failure beyond the amount of such losses, damages or expense which Pershing is able to recover pursuant to the terms of its agreement with such service bureau.

Client hereby authorizes MetWest, in its sole discretion, to appoint, utilize and reasonably rely upon the services of third parties, including, but not limited to, recognized security data and pricing information sources. Client understands and agrees that such third parties are not and shall not be construed to be a party to this Agreement or otherwise be deemed in any way to be in privity of contract with Client. MetWest shall not be responsible for delays, failures in performance, or other actions by such third parties selected by MetWest in the exercise of reasonable care, except to the extent such action or inaction by a third party was caused in part by MetWest. The Client authorizes MetWest, as Client's agent, to compensate any such third parties and to pay all related expenses and fees, provided that (a) no more than reasonable compensation shall be paid to any such third party and (b) no compensation shall be paid to any Affiliate of MetWest.
