Data Return. Upon termination of a Service for any reason, Supplier will promptly provide Buyer with a copy of any Buyer Data relating to such terminated Service (excluding any Buyer Data that has previously been provided to Buyer or that is otherwise already in the possession of Buyer). Buyer Data will be provided in its then current form, in an electronic format and media to be reasonably agreed upon by the parties. The foregoing obligation of Supplier is absolute, and Supplier will not be entitled to withhold such Buyer Data for any reason, including due to Buyer’s breach of this Agreement (provided that in the case Buyer is in breach of this Agreement, that Buyer pays Supplier prior to delivery for any reasonable costs incurred by Supplier to comply with Buyer’s data copy request). Upon providing Buyer with an electronic media copy of the Buyer Data, Supplier will have no further responsibility with respect to such data, including maintaining a backup or archive for Buyer, except as otherwise expressly provided in a Project Statement.
Data Return. (a) Per the timelines and terms as specified in Section 10(c)(ii) of the Agreement, upon expiration or termination of the Applicable Term, Customer may request the return of Customer Data and OneStream shall provide a backup of the database file(s).
Data Return. Following the expiration or termination of the Subscription Period, Signify will for a thirty day period make available to Customer for download a file of Customer Data in comma separated value (.csv) form along with attachments in their native format. After this thirty-day period, Signify will have no obligation to maintain or provide any Customer Data, and will unless prohibited by law, will have the right to delete all of Customer Data in Signify’s systems, or otherwise within Signify’s possession or control.
Data Return. Data Return warrants and represents that:
14.1.1 It has the full power to enter into this Agreement and make the assignments and license rights set forth herein;
14.1.2 It has not previously granted, and will not grant, any rights in the Deliverables to any third party that are inconsistent with the rights granted to Microsoft herein;
14.1.3 The Deliverables are original to Data Return and do not infringe any copyright, trade secret, or other proprietary right (other than patent) held by any third party, and to the best of Data Return's knowledge, do not infringe any patent held by any third party;
14.1.4 The Deliverables will be created by employees of Data Return within the scope of their employment and under obligation to assign inventions to Data Return, or by independent contractors under written obligations to assign all rights in the Deliverables to Data Return; and
14.1.5 The Services shall be performed in a good and workmanlike manner consistent with industry standards and consistent with the quality of Data Return's currently existing products.
Data Return. For 30 days after termination or expiration of this Agreement, SmartRecruiters will free of charge, allow Customer to access SmartRecruiters’ Customer Application Programming Interface (“API”) so that Customer can retrieve its data, including, without limitation, Customer Content and Candidate Content, in a format described on xxxxx://xxx.xxxxxxxxxxxxxxx.xxx/customer-api/overview/. After 30 days, Customer agrees that no access to SmartRecruiters’ Customer API will be granted to Customer any further, and SmartRecruiters will remove Customer’s access and delete Customer’s data.
Data Return. Upon termination of this Agreement, the PROCESSOR shall return all personal data to the CONTROLLER or, as the case may be, destroy such data and, where necessary, the devices where they are stored. Said return shall imply the complete deletion of the existing data in the systems and documents of the PROCESSOR. However, the PROCESSOR may keep a properly protected copy of said data for as long as any liabilities regarding contract execution may arise.
Data Return. 9.1 The xxxxxxxxxxx.xx service does not hold notarization data but only information related to transactions (email registered for the service, file name, date and time of submission, hash code for each blockchain connected to the xxxxxxxxxxx.xx service at the time) as well as the data provided for billing purposes. In any case, for any reason of termination of the Contract, the Customer releases, now and in the future, the Provider from any and all liability for the possible loss or total or partial damage of data and/or information and/or content entered and/or processed by the Customer themselves.
Data Return. Before terminating the cooperation, the Controller may export their data from the Processor’s system. Alternatively, the Controller may request the Processor to send the backed-up data according to the Terms of Service no later than 80 days after cancelling an Instance. After this period expires, the Controller’s data will be irretrievably deleted.
Data Return. In the event that Centre ceases to do business, no longer offers support and Services, or files for bankruptcy, receivership, insolvency, dissolution, or similar proceedings are instituted by or against Centre under any federal or state law, Centre agrees to provide within thirty (30) days, all the then-current data information to Customer on support medium representative of the size of the data. This transfer will not include transition Services without the initiation of a new Service Order with continuation of Monthly Recurring Charges (MRC) for the duration. This does not include any of Centre’s disclosures, systems, methods, which include but are not limited to the processes and designs of the infrastructure and VMs.
Data Return. On Termination. After the termination or expiration of the Term, if desired by Customer, EHS will return a copy of the Customer Data to the Customer in the format described below; provided, however, that prior to EHS being obligated to provide such Customer Data, Customer must pay to EHS all costs and fees due under the Cloud Services Agreement, and Order, any other agreement, and must pay EHS’s standard fee for return of such data.
