Vested Rights to Develop. The conferring of the rights granted to Developer under this Agreement and subject to all the terms, conditions and requirements of this Agreement, to proceed with the development of the Property based on the agreement of the County hereunder that certain regulations and requirements in the Existing Approvals pertaining to the development of the Property (referred to herein as the "Vested Elements") are fixed and, except as permitted by this Agreement, that they cannot be subsequently modified, changed or augmented so as to impose additional requirements or burdens on the development of the Property without Developer's consent. Vested Rights to Develop. Subject to the terms, conditions, and covenants of this Agreement, including the Reservations of Power in Section 3.4, and the conditions of approval and mitigation measures attached hereto and incorporated herein as Exhibit D, E&B shall, as of the Approval Date, have a vested right to develop the Property and Project, including Off-site Components, in accordance with, and to the extent of, the Project Approvals, and the Current Land Use Regulations. The approved use of the Property, the density and intensity of use, the maximum height, footprint, and square footage of proposed buildings and structures, and provisions for reservation and dedication of land or public purposes shall be those set forth in the Project Approvals and the attached Exhibits. Nothing in this Agreement shall be deemed to obligate E&B to initiate development of the Project or any portion thereof within any period of time or at all, subject to the terms of the Lease and the Settlement Agreement, including but not limited to E&B’s obligation to proceed with due diligence provided for in Section 12.3 of the Settlement Agreement.

  • Vested Rights Permittee waives any and all “vested rights” (as that term is used in California land use law) the Permittee may have or later acquire, in law or equity, concerning the Property or the Project except those specifically stated herein. Nothing contained in this Agreement, nor in any of the permits, approvals, plans, inspections, certificates, documents, licenses, or any other actions taken by the County regarding the Project shall be construed to grant Permittee any vesting of rights for future development or use of the Property or to conduct commercial cannabis activities except as specifically stated herein; and

  • Rights to Data 10.1 Subject to the provision of Condition 9, the Authority reserves the right to have access to and to use Data compiled during the course of the research and will respect existing guidance on confidentiality of any Data which it obtains.

  • Restricted Rights Use of the Software by or for the United States Government is conditioned upon the Government agreeing that the Software is subject to Restricted Rights as provided under the provisions set forth in FAR 52.227-19. Customer shall be responsible for assuring that this provision is included in all agreements with the United States Government and that the Software, when delivered to the Government, is correctly marked as required by applicable Government regulations governing such Restricted Rights as of such delivery.

  • CFR PART 200 Rights to Inventions If the Federal award meets the definition of “funding agreement” under 37 CFR §401.2 (a) and the recipient or subrecipient wishes to enter into a contract with a small business firm or nonprofit organization regarding the substitution of parties, assignment or performance of experimental, developmental, or research work under that “funding agreement,” the recipient or subrecipient must comply with the requirements of 37 CFR Part 401, “Rights to Inventions Made by Nonprofit Organizations and Small Business Firms Under Government Grants, Contracts and Cooperative Agreements,” and any implementing regulations issued by the awarding agency.   • Multi-year Planning Targets Schedule A may reflect an allocation for the first Funding Year of this Agreement as well as planning targets for up to two additional years, consistent with the term of this Agreement. Costs contained in untimely, unsupported, or otherwise incomplete invoices shall be deemed Unauthorized Costs, for which Sponsor shall not be liable, directly or indirectly. Grantee shall submit invoices to the Human Services Office via email on the following dates: For the period of July – September, due on or before October 31, 2022 For the period of October – December, dues on or before January 31, 2023 For the period of January – March, due on or before April 28, 2023 For the period of April – June, due on or before June 30, 2023 Xxxxxxx’s invoices submitted hereunder shall be handled as all other claims against the Sponsor. No payment shall be made for Unauthorized Costs. The Sponsor shall authorize payment for Xxxxxxx’s invoices only after Project Monitor assures the Sponsor in writing that Services rendered by Grantee prior to the date of making the claim were performed in accordance with the Grant Contract, and that all costs conform to the Project Budget. Such assurance shall include the submission of all supporting documentation and support for costs as described in Paragraph 7 of this Grant Contract.
