WEB COMMERCE. No products or goods purchased from or produced by Wholesaler shall be resold by Retailer through any location other than Retailers URL or brick and mortar store including any online auctions (e.g., eBay) or online (e.g., Amazon) without the express, written authority of the Wholesaler. If Retailer resells via 3rd party, Wholesaler’s and Retailer’s relationship will be terminated.

WEB COMMERCE. No products or goods purchased from Vital Choice shall be resold by or through any on-line auction or online store (such as eBay, Amazon or other similar sites) without the express, written authority of Vital Choice. If Customer is planning to sell products produced by Vital Choice in an online marketplace/store, that store must be owned by the entity applying for a Wholesale Account and listed on the Wholesale Application to be approved by Vital Choice. Names of any third party, e-commerce website(s) or 3rd party sales platform (Amazon, Walmart, eBay, etc.) that you wish to sell and market Vital Choice products must be listed at the bottom of this agreement.
WEB COMMERCE. No products or goods purchased from or produced by Bubs First shall be resold by Retailer through any location other than Retailers URL and/or brick and mortar store, including an online auction (e.g., ebay) or online store (e.g., Amazon) without the express, written authority of Bubs First. If Retailer resells via 3rd party, Bubs First and retailer relationship may be terminated.
WEB COMMERCE. No products or goods purchased from or produced by Color Up shall be resold by or through any on-line auction or online store (such as Ebay, Amazon, Facebook Marketplace, ETSY, or other similar sites) without the express, written authority of Color Up. If Wholesale Account is planning to sell products produced by Color Up in an online marketplace/store, it must be owned by the entity applying for a Wholesale Account and listed on the Wholesale Application to be approved by Color Up. Color Up will make available images that you might require for your print and online presence. Should you require any additional images, please contact us. Only designated retail Color Up products may be sold. Back bar products and samples are not labeled for resale and may not be resold. All products and promotional materials are to be used solely by the retailer or the individual named and addressed on the invoice/sales receipt/account. Any production or reproduction of the Color Up image, including but not limited to packaging, promotional materials, image, concept, logo or name are prohibited unless otherwise approved by Color Up.
WEB COMMERCE. No products or goods purchased from or produced by Lashes Everlasting shall be resold by or through any on-line auction or online store (such as Ebay, Amazon or other similar sites) without the express, written authority of Lashes Everlasting. If Wholesale Account is planning to sell products produced by Lashes Everlasting in an online marketplace/store, it must be owned by the entity applying for a Wholesale Account and listed on the Wholesale Application to be approved by Lashes Everlasting. Wholesale Account must not launch new product until on or after Lashes Everlasting’s launch date. Lashes Everlasting will make available images that you might require for your print and online presence. Should you require any additional images, please contact us. Any imagery you provide yourself must be approved prior to use (please allow adequate lead-time for approval; two weeks is recommended).
WEB COMMERCE. You acknowledge and accept that your use of the Services, and all associated communications and transactions conducted on-line, may not be absolutely secure, and that the Service is not guaranteed to be error free. By engaging in on-line activity, you accept the responsibilities and risks associated with the use of the Internet generally. You understand that information available to you through the Internet may include materials that are unedited, explicit or offensive to you, and that your access to such materials is at your own discretion and risk. Further, you acknowledge that all transactions relating to merchandise or services offered by you through the XO service, including but not limited to the purchase terms, payment terms, warrantees, guarantees, maintenance and delivery terms for such transactions are agreed to solely between you and third party purchasers. You also agree that your collection, storage, security, access, use and disclosure of your own customer's personal data will comply with all applicable federal, state and local laws, rules and regulations as they may be amended from time to time (the "Privacy Laws"). XO and its affiliates make no warranties or representations whatsoever with respect to your goods and services, data handing and security practices, nor with respect to the qualifications of any third party purchaser, and shall not be liable in any way to any such third party user of or purchaser from your site.

  • Reporting of Abuse, Neglect, or Exploitation Consistent with provisions of 33 V.S.A. §4913(a) and §6903, Party and any of its agents or employees who, in the performance of services connected with this agreement, (a) is a caregiver or has any other contact with clients and (b) has reasonable cause to believe that a child or vulnerable adult has been abused or neglected as defined in Chapter 49 or abused, neglected, or exploited as defined in Chapter 69 of Title 33 V.S.A. shall: as to children, make a report containing the information required by 33 V.S.A. §4914 to the Commissioner of the Department for Children and Families within 24 hours; or, as to a vulnerable adult, make a report containing the information required by 33 V.S.A. §6904 to the Division of Licensing and Protection at the Department of Disabilities, Aging, and Independent Living within 48 hours. Party will ensure that its agents or employees receive training on the reporting of abuse or neglect to children and abuse, neglect or exploitation of vulnerable adults.

  • INTERNATIONAL BOYCOTT PROHIBITION In accordance with Section 220-f of the Labor Law and Section 139-h of the State Finance Law, if this contract exceeds $5,000, the Contractor agrees, as a material condition of the contract, that neither the Contractor nor any substantially owned or affiliated person, firm, partnership or corporation has participated, is participating, or shall participate in an international boycott in violation of the federal Export Administration Act of 1979 (50 USC App. Sections 2401 et seq.) or regulations thereunder. If such Contractor, or any of the aforesaid affiliates of Contractor, is convicted or is otherwise found to have violated said laws or regulations upon the final determination of the United States Commerce Department or any other appropriate agency of the United States subsequent to the contract's execution, such contract, amendment or modification thereto shall be rendered forfeit and void. The Contractor shall so notify the State Comptroller within five (5) business days of such conviction, determination or disposition of appeal (2NYCRR 105.4).

  • Xxxxxx Act Any provisions required to be contained in this Agreement by Section 126 and/or Section 130-k or Article 4-A of the New York Real Property Law are hereby incorporated herein, and such provisions shall be in addition to those conferred or imposed by this Agreement; provided, however, that to the extent that such Section 126 and/or 130-k shall not have any effect, and if said Section 126 and/or Section 130-k should at any time be repealed or cease to apply to this Agreement or be construed by judicial decision to be inapplicable, said Section 126 and/or Section 130-k shall cease to have any further effect upon the provisions of this Agreement. In a case of a conflict between the provisions of this Agreement and any mandatory provisions of Article 4-A of the New York Real Property Law, such mandatory provisions of said Article 4-A shall prevail, provided that if said Article 4-A shall not apply to this Agreement, should at any time be repealed, or cease to apply to this Agreement or be construed by judicial decision to be inapplicable, such mandatory provisions of such Article 4-A shall cease to have any further effect upon the provisions of this Agreement.

  • XxxXxxxx Principles - Northern Ireland The provisions of San Francisco Administrative Code §12F are incorporated herein by this reference and made part of this Agreement. By signing this Agreement, Contractor confirms that Contractor has read and understood that the City urges companies doing business in Northern Ireland to resolve employment inequities and to abide by the XxxXxxxx Principles, and urges San Francisco companies to do business with corporations that abide by the XxxXxxxx Principles.

  • REGULATORY ADMINISTRATION SERVICES BNY Mellon shall provide the following regulatory administration services for each Fund and Series:  Assist the Fund in responding to SEC examination requests by providing requested documents in the possession of BNY Mellon that are on the SEC examination request list and by making employees responsible for providing services available to regulatory authorities having jurisdiction over the performance of such services as may be required or reasonably requested by such regulatory authorities;  Assist with and/or coordinate such other filings, notices and regulatory matters and other due diligence requests or requests for proposal on such terms and conditions as BNY Mellon and the applicable Fund on behalf of itself and its Series may mutually agree upon in writing from time to time; and
