XXXX’X OFFICE. Purchaser shall cause the Surviving Corporation to maintain an office in Bryan, Texas for a period of at least three (3) years from the Closing Date. The Shareholder Representative shall have the authority to enforce this covenant following the Closing. In the event of a breach or threatened breach of this Section 7.4, the Parties acknowledge that monetary damages would be inadequate and insufficient. Therefore, in addition to any other remedies available at law or in equity, the Shareholder Representative shall be entitled to injunctive relief in a court of competent jurisdiction in the State of Texas (notwithstanding any venue provision in this Agreement) to remedy any such breach or threatened breach.
