XXXXX RIGHTS Sample Clauses

XXXXX RIGHTS. By using our Services in conjunction with creating, posting, submitting, displaying, or promoting content, including your User Content, or by complying with our metadata standards in your metadata API responses, you hereby grant (and you represent and warrant that you have the right to grant) to Sky Xxxxx an irrevocable, non-exclusive, sublicensable, royalty-free and fully paid, worldwide license to use, reproduce, copy, modify, distribute, publicly display and perform, prepare derivative works of, incorporate into other works, and otherwise use and exploit your User Content, and to grant sublicenses of the foregoing rights, to provide and improve the Services and our other products and services or for any of our current and future business purposes. This includes any art, digital file, or other material linked to or associated with any Digital Collectibles that are displayed on or through our Services. You hereby irrevocably waive (and agree to cause to be waived) any claims and assertions of moral rights or attribution with respect to your User Content. For clarification, Xxx Xxxxx does not claim that any submission, posting, or display of your User Content on or through the Services gives us any ownership of the content. We merely may use and show off your User Content.
XXXXX RIGHTS. 3.1.1. Subject to the terms and conditions of this Agreement, including, without limitation, the language restrictions set forth in paragraph 3.1.2, below, and the territorial restrictions set forth in paragraph 5, below, with respect to each Picture, Spyglass hereby grants to Xxxxx the following rights: 3.1.1.1. All Cinematic, Video, Television, Hotel and New Media Rights, in and to the Pictures during the Exploitation Term for each Picture (as set forth in paragraph 4.2, below) for exploitation in the German Territories (as set forth in paragraph 5, below). 3.1.1.2. All Television Rights in and to the Pictures during the Exploitation Term for each Picture for exploitation in the Italian and Spanish Territories (each as defined in paragraph 5, below); provided, however, that such Television Rights shall not include the right to exploit the Pictures prior to the Television Availability Date (as defined in paragraph 4.3, below). 3.1.1.3. All Cinematic, Video, Television, Hotel and New Media Rights, in and to the Pictures during the Exploitation Term for each Picture (as set forth in paragraph 4.2, below) for exploitation in the Russian Territories (as set forth in paragraph 5, below). 3.1.2. Xxxxx'x rights to exploit the Pictures hereunder are subject to the following language restrictions: 3.1.2.1. With respect to the German Territories, Xxxxx may exploit the Xxxxx Rights (as defined in paragraph 3.1.3, below) in a German language dubbed or subtitled version; provided, however, that, with respect to the Pay TV Rights, Xxxxx may exploit the Pay TV Rights in a subtitled version only to the extent that the Pay TV transmission is by means of an encoded signal intended for reception on a viewing device in private living accommodations by means of a decoding device. In addition to the foregoing, (i) in Switzerland, Xxxxx may also exploit the Cinematic Rights in a French dubbed or subtitled version, (ii) in Germany, Austria and Switzerland, Xxxxx may also exploit the Cinematic (provided, however, that, with respect to the Non-Theatrical Rights, the parties will decide whether or not the provisions of this clause (ii) shall apply on a case-by-case basis), Videogram (but not by means of Videocassettes) and Pay TV Rights in the English language without subtitles and (iii) in any country of the German Territories, Xxxxx may exploit the Pictures on DVD (or any other new home video playing device) in an English language version with or without subtitles only as long as...
XXXXX RIGHTS. Xxxxx shall have the right to purchase any Percentage Interest of the Offered Interest. Within ten (10) Business Days following its receipt of the Transfer Notice, Xxxxx shall notify the Company and the Selling Holder as to the Percentage Interest, if any, that Xxxxx is electing to purchase (each such notice being an “Acceptance”). Each Acceptance shall be deemed to be an irrevocable commitment to purchase from the Selling Holder that Percentage Interest of the Offered Interest which Xxxxx has elected to purchase pursuant to its Acceptance.
XXXXX RIGHTS xxxxx reserves the right to assign this Terms of Use, in whole or in part, at any time without notice. The User may not assign any of his/her rights or obligations under this Terms of Use.

  • License Rights The Recipient must provide a license to its “subject data” to the Federal Government, which license is: (a) Royalty-free, (b) Non-exclusive, and (c) Irrevocable, (2) Uses.   • Xxxxxxxxxx Rights Upon request, an employee shall have the right to Union representation during an investigatory interview that an employee reasonably believes will result in disciplinary action.   • Sublicense Rights Subject to the terms and conditions of this Agreement, Astellas shall have the right to grant sublicenses of the rights granted to it under Section 3.1.1 and 2.5.3(c) through multiple tiers to its Affiliates, provided that Astellas shall be and remain responsible for performance of all its obligations under this Agreement, and any action by an Affiliate shall be deemed an action by Astellas for which it is responsible. Astellas and its Affiliates may grant sublicenses through multiple tiers to Third Parties (a) whose primary business is contract manufacturing, solely for manufacturing and supplying Licensed Compound or Product to Astellas or any Related Party or (b) to a subcontractor to perform Astellas’s assigned responsibilities under this Agreement or any Research Plan, Development Plan or Co-Promotion Plan. All other sublicenses to be granted by Astellas or any Astellas Affiliate in the Joint Development Territory prior to […***…] will require prior written approval from Ambit, which shall not be unreasonably withheld or delayed, provided that in the event such sublicense is to all of Astellas’s rights in the U.S. or the Joint Development Territory to a Person who is not an Astellas Affiliate such approval shall be at Ambit’s sole discretion. In the case of sublicenses pursuant to the immediately preceding sentence above, Astellas shall provide to Ambit, upon Ambit’ written request, a copy of all executed agreements in which rights granted by Ambit under this Agreement are sublicensed (and Astellas shall have the right to make reasonable redactions prior to providing such agreements(s)). Ambit shall treat all such sublicense agreements as Astellas’s Confidential Information. Astellas or its Affiliates may grant sublicenses (i) in the Joint Development Territory at any time after the first NDA Submission in the Joint Development Territory, provided that, with respect to each applicable Product in the U.S., the Required Exercise Date has occurred and Ambit has not exercised the Co-Promotion Option or the Co-Promotion Term has expired or terminated and (ii) outside the Joint Development Territory, in each case ((i) and (ii)) through multiple tiers of Sublicensees without Ambit’s approval. Each sublicense granted by Astellas pursuant to this Section 3.1.2 shall be subject and subordinate to the terms and conditions of this Agreement. Any sublicense granted by Astellas shall impose on the Sublicensee obligations consistent with the terms and conditions of this Agreement, with each Sublicensee being required to comply with the obligations under this Agreement applicable to Sublicensees, and also to comply with the generally-applicable obligations of this Agreement that are appropriate for application to Sublicensees. Astellas shall ensure that all Persons to which it (or its Affiliate) grants sublicenses comply with all applicable terms and conditions of this Agreement, and Astellas shall be responsible for any failure of any such Sublicensee to comply with such terms or conditions, with the further understanding that any action or omission by any such Sublicensee that, if committed by Astellas would be a breach of this Agreement (with respect to those country(ies)) in which such Sublicensee is sublicensed), will be deemed a breach by Astellas of this Agreement (with respect to those country(ies) in which such Sublicensee is sublicensed) for which Astellas is responsible. Without limiting the foregoing, no sublicense shall modify Ambit’s rights or obligations under this Agreement (including Ambit’s Co-Promotion rights). Without limiting the foregoing, any sublicense agreement shall contain the following provisions, as applicable: (i) a requirement that such Sublicensee submit applicable Net Sales or other reports consistent with those required hereunder; (ii) audit requirements similar to those set forth in this Agreement; and (iii) a requirement that such Sublicensee comply with the confidentiality provisions of Article 6 with respect to Ambit’s Confidential Information.

  • Veto rights 6.3.4.1 A Member which can show that its own work, time for performance, costs, liabilities, intellectual property rights or other legitimate interests would be severely affected by a decision of the Steering Committee may exercise a veto with respect to the corresponding decision or relevant part of the decision. 6.3.4.2 When the decision is foreseen on the original agenda, a Member may veto such a decision during the meeting only. 6.3.4.3 When a decision has been taken on a new item added to the agenda before or during the meeting, a Member may veto such decision during the meeting and within 15 days after the draft minutes of the meeting are sent. 6.3.4.4 In case of exercise of veto, the Members shall make every effort to resolve the matter which occasioned the veto to the general satisfaction of all Members. 6.3.4.5 A Party may not veto decisions relating to its identification as a Defaulting Party. The Defaulting Party may not veto decisions relating to its participation and termination in the Partnership or the consequences of them. 6.3.4.6 A Party requesting to leave the Partnership may not veto decisions relating thereto.

  • Trademark Rights Any and all past, present or future rights in, to and ---------------- associated with the Trademarks throughout the world, whether arising under federal law, state law, common law, foreign law or otherwise, including the following: all such rights arising out of or associated with the Trademark Registrations; the right (but not the obligation) to register claims under any state, federal or foreign trademark law or regulation; the right (but not the obligation) to xxx or bring opposition or cancellation proceedings in the name of the Assignor or the Agent for any and all past, present and future infringements or dilution of or any other damages or injury to the Trademarks, the Trademark Rights, or the Associated Goodwill, and the rights to damages or profits due or accrued arising out of or in connection with any such past, present or future infringement, dilution, damage or injury; and the Trademark License Rights.

  • Contracts (Rights of Third Parties) Xxx 0000 No term of this Agreement is enforceable under the Contracts (Rights of Third Parties) Xxx 0000 by a person who is not a party to this Agreement.

  • Sublicensing Rights (a) The license(s) granted to Intellia in Section 2.1 and to Caribou in Section 2.2 may be sublicensed, in full or in part, by Intellia and Caribou, respectively, (each, the “Sublicensing Party”) by a written agreement to its Affiliates and Third Parties (with the further right to sublicense [***] provided that the following shall likewise apply with respect to sublicenses granted by a Sublicensee), provided, that: (i) the Sublicensing Party will provide to the other Party a copy of any sublicense agreement with a Sublicensee within [***] days of execution thereof, which sublicense agreement may be redacted as necessary to protect commercially sensitive information to the extent such information is not reasonably necessary to determine compliance with this Agreement or to determine the rights granted under any of the Caribou IP or Intellia IP, as applicable (together with an accurate English translation of such sublicense, if applicable) provided that if such agreement is with a Related Party the Sublicensing Party shall provide an unredacted copy thereof; (ii) the Sublicensing Party will be responsible for any and all obligations of such Sublicensee as if such Sublicensee were “Intellia” or “Caribou”, as applicable, hereunder; (iii) any such Sublicensee will agree in writing to be bound by identical obligations as the Sublicensing Party hereunder with respect to the activities of such Sublicensee hereunder; (iv) to the extent that the Sublicensing Party or any Sublicensee grants a sublicense under any intellectual property subject to a Caribou In-License or Intellia Included In-License, as applicable, such sublicense (and such further sublicensee) will be subject to the terms of such Caribou In-License or Intellia Included In-License, including such sublicensee’s compliance with the Required In-License Provisions [***].

  • Assignment of Rights to Intellectual Property The Executive shall promptly and fully disclose all Intellectual Property to the Company. The Executive hereby assigns and agrees to assign to the Company (or as otherwise directed by the Company) the Executive’s full right, title and interest in and to all Intellectual Property. The Executive agrees to execute any and all applications for domestic and foreign patents, copyrights or other proprietary rights and to do such other acts (including without limitation the execution and delivery of instruments of further assurance or confirmation) requested by the Company to assign the Intellectual Property to the Company and to permit the Company to enforce any patents, copyrights or other proprietary rights to the Intellectual Property. The Executive will not charge the Company for time spent in complying with these obligations. All copyrightable works that the Executive creates shall be considered “work made for hire”.

  • INTELLECTUAL PROPERTY RIGHTS - DATA RIGHTS A. Data produced under this Annex which is subject to paragraph C. of the Intellectual Property Rights - Data Rights Article of the Umbrella Agreement will be protected for the period of one year. B. Under paragraph H. of the Intellectual Property Rights - Data Rights Article of the Umbrella Agreement, Disclosing Party provides the following Data to Receiving Party.
