The General Assembly. 10 The General Assembly is convened by the Executive Committee when necessary, however a minimum of once a year or if more than 1/5 of the Regular Members demand it. All members as well as the delegates of the Organisational Mem- bers are entitled to participate. The invitation, including the agenda, shall be sent to the members 4 weeks in advance in writing, by letter or e-mail. § 11 Die Vereinsversammlung hat folgende Aufgaben: - Entgegennahme des Tätigkeitsberichts des Vorstandes und des Leitenden Ausschusses; - die Festsetzung des Mitgliederbeitrages, soweit Mitglie- der nicht aufgrund dieser Statuten davon befreit sind; - Entgegennahme des Jahresberichtes; - Xxxx der Mitglieder des Vorstandes und der Beiräte, so- weit diese Beiräte nicht durch den Vorstand ernannt wur- den; - Xxxx der Revisionsstelle; - Ausschluss von Mitgliedern aus dem Verein, wenn diese den Beschluss des Vorstandes nicht akzeptieren; - Änderung der Statuten und Auflösung des Vereins. § 12 Jede ordnungsgemäss einberufene Vereinsversammlung ist be- schlussfähig, und zwar ungeachtet der Anzahl der anwesenden Mitglieder. § 11 The General Assembly has the following tasks: – approval of the Progress Report of the Board of Directors and the Executive Committee; – the fixing of the membership fee insofar as the members are not exempt from it according to the present Articles of Association; – approval of the Annual Report; – election of the Members of the Board and the Committee Members as far as these Members of the Committee have not been nominated by the Board; – election of the Auditors; – exclusion of members from the Association, if they should not accept the Board of Director’s resolution; – amendments of the Articles of Association and dissolution of the Association. § 12 Each duly convened General Assembly constitutes a quorum, and this independently from the number of members present.
