Antitrust Filing definition

Antitrust Filing means a filing that must be made by either Party (or both Parties) to or with a Governmental Entity under any applicable antitrust, competition or similar Law of any jurisdiction applicable to the transactions contemplated by this Agreement as identified in Exhibit C;
Antitrust Filing has the meaning assigned to such term in Section 6.02.
Antitrust Filing means an HSR Filing or any other antitrust filing by ImmunoGen or Vertex or any of their Affiliates to comply with antitrust clearance processes with respect to the transactions contemplated under this Agreement upon Vertex’s exercise of an Option.

  • The Parties will cooperate with one another to the extent necessary in the preparation of any such HSR Filing and ex-U.S. Antitrust Filing.


More Definitions of Antitrust Filing

Antitrust Filing means, as the context requires a filing or notification, together with all required documentary attachments thereto, by the Parties with or to the applicable Antitrust Authority as required by the Antitrust Laws with respect to (a) Gilead’s exercise of an Option with respect to a Galapagos Program pursuant to Section 8.2(b)(viii) and Section 8.2(d), or (b) the transactions contemplated by the Subscription Agreement or this Agreement.
Antitrust Filing means the filing to be made with COFECE in respect of the Antitrust Clearance;
Antitrust Filing means filings by Licensor and EQRx with the United States Federal Trade Commission and the United States Department of Justice and any applicable governmental authority in the Clearance Countries, as required under any Antitrust Laws with respect to the transactions contemplated under this Agreement, together with all required documentary attachments thereto.
