Authorized Option Shares definition

Authorized Option Shares means the sum of (a) the number of options granted under the Company Stock Option Plans which are outstanding as of June 15, 2001; (b) the number of shares of Company Common Stock remaining available for grant under the Company Stock Option Plans as of June 15, 2001; and (c) such number of additional shares of Company Common Stock (if any) that are made available for issuance under the 1995 Stock Option Plan on October 1, 2001 pursuant to Section 4.1 thereof if the Closing Date is after October 1, 2001.

  • The Stock Option Plan will provide that a number of shares of Holding Company Stock equal to 5% of the total number of shares of Holding Company Stock issued and outstanding immediately after the Initial Public Offering (the "Authorized Option Shares") shall be available to be issued pursuant to the Stock Option Plan.

  • Number of Option Shares means shares of Stock, as adjusted from time to time pursuant to Section 9.

  • Option Shares shall have the meaning ascribed to such term in Section 2.2(a).

  • Option Warrants shall have the meaning ascribed to such term in Section 2.2(a).

  • Option Stock shall have the meaning set forth in Section 2(a) hereof.

  • Optioned Shares means the shares of Common Stock that are issued pursuant to the exercise of the Options;

  • Vested Options means the Options that have vested in accordance with Section 2.2 of this Agreement.

  • Purchase Option Price means the amount payable by a Lessee upon the exercise of its option to purchase a related 2018-1 Vehicle which amount equals (a) with respect to a Matured Vehicle, the Contract Residual Value plus any fees, taxes and other charges imposed in connection with such purchase and (b) with respect to a related 2018-1 Vehicle for which the related 2018-1 Lease has been terminated early by the Lessee, the sum of (i) any unpaid Monthly Payments due, (ii) any fees, taxes and other charges imposed in connection with the related 2018-1 Lease, (iii) an early termination fee and (iv) the Actuarial Payoff.

  • Reserved Shares means initially, [ ] Shares. The Reserved Shares may be increased or decreased in a Supplemental Confirmation.

  • Pre-Funded Warrant Shares means the shares of Common Stock issuable upon exercise of the Pre-Funded Warrants.

  • Vested Shares means "Vested Shares" as defined in the Award Agreement.

  • Incentive Shares means Shares awarded pursuant to the provisions of Article 12.
