Buyer Stock Price definition

Buyer Stock Price means the average of the closing sale prices of Buyer Common Stock as reported on the Nasdaq Stock Market during the twenty (20) consecutive trading dates ending on and including the fifth (5th) trading day prior to the Closing Date.
Buyer Stock Price as of any date of determination, means the greater of (i) VWAP of Buyer Closing Common Stock and (ii) VWAP of Buyer Common Stock.
Buyer Stock Price shall have the meaning set forth in Section 2.3.

  • Notwithstanding any other provision of this Agreement, each holder of shares of Seller Common Stock exchanged pursuant to the Merger, who would otherwise have been entitled to receive a fraction of a share of Buyer Common Stock (after taking into account all certificates delivered by such holder), shall receive, in lieu thereof, cash (without interest) in an amount equal to such fractional part of a share of Buyer Common Stock multiplied by Final Buyer Stock Price.

Buyer Stock Price means the volume weighted average trading price of a Buyer Share on the NYSE, calculated to four decimal places and determined without regard to after-hours trading or any other trading outside of the regular trading session trading hours, for the thirty (30) consecutive trading days ending on the fourth complete trading day prior to (and excluding) the Closing Date as reported by Bloomberg, L.P. (or, if not reported therein, in another authoritative source mutually selected by the parties), subject to customary equitable adjustment for any stock split (including reverse stock split), recapitalization and similar events pursuant to which the outstanding number of Buyer Shares shall have been converted into a different number of Buyer Shares following the Closing.
Buyer Stock Price means the weighted average closing price per share of the Buyer Common Shares on the NASDAQ Global Select Market for the ten (10) consecutive trading day period ending on the business day immediately prior to the Closing Date.
Buyer Stock Price means the lower of (a) the volume weighted average price of a Buyer Share listed on the NYSE (as reported by Bloomberg) for the twenty Trading Days ending on the Agreement Date and (b) the volume weighted average price of a Buyer Share listed on NYSE (as reported by Bloomberg) for the twenty Trading Days ending on the Closing Date.
