CDO Documents definition

CDO Documents means the Indenture, the Collateral Management Agreement, the Servicing Agreement, the Paying and Transfer Agency Agreement, the Notes, share certificates relating to the Issuer Share Capital, the Issuer's Charter, Resolutions, the Co-Issuer Stock, the Co-Issuer Charter Documents and all other Transaction Documents or agreements, documents or instruments contemplated by the foregoing. For the avoidance of doubt, “CDO Documents” shall not include the Collateral Securities and the documentation governing the Collateral Securities.
CDO Documents means each offering memorandum, indenture, supplemental indenture, trust agreement, insurance agreement, swap agreement and collateral administration agreement entered into or used in connection with a CDO.

  • After the Closing, the Sellers and their affiliates shall reasonably cooperate with the Purchaser and any of its affiliates in any suit, action, investigation or proceeding relating to or arising in connection with the CDO Documents, the Collateral Securities or the transactions contemplated by this Agreement.


More Definitions of CDO Documents

CDO Documents means, with respect to the CDO Interests, all agreements, contracts and instruments relating to the creation, distribution, transfer, ownership and management of such CDO Interests and the CDO from which such CDO Interest is derived, including, without limitation, the following: (i) all custody and administration agreements, indentures, notes, preferred equity interests, fiscal agency agreements, hedge agreements, purchase agreements, transfer agent agreements and similar agreements or arrangements (other than agreements, contracts and commitments relating to investments underlying the CDO); and (ii) all investment advisory, management, collateral management, disposition consultant, servicing, administration and similar agreements by which the relevant CDO is bound; and (iii) all private placement memoranda, offering circulars or other offering material with respect to the offering for sale of the CDO.

  • Related Documents mean and include without limitation all promissory notes, credit agreements, loan agreements, environmental agreements, guaranties, security agreements, mortgages, deeds of trust, and all other instruments, agreements and documents, whether now or hereafter existing, executed in connection with the Indebtedness.

  • Financing Documents means collectively the documents evidencing Lenders’ commitment to finance the Project.

  • Buyer Documents has the meaning set forth in Section 5.2.

  • Debt Financing Documents means the agreements, documents and certificates contemplated by the Debt Financing.

  • Term Documents means the Term Credit Agreement, the Term Guaranties, the Term Collateral Documents, any Term Hedging Agreements between any Term Loan Party and any Term Hedging Affiliate, those other ancillary agreements as to which the Term Agent or any Term Lender is a party or a beneficiary and all other agreements, instruments, documents and certificates, now or hereafter executed by or on behalf of any Term Loan Party or any of its respective Subsidiaries or Affiliates, and delivered to the Term Agent, in connection with any of the foregoing or any Term Credit Agreement, in each case as the same may be amended, supplemented, restated or otherwise modified from time to time.

  • Formation Documents means, collectively, the Issuer LLC Agreement, the Issuer Certificate of Formation and any other document pursuant to which the Issuer is formed or governed, as each may be amended or supplemented from time to time.

  • Related Agreements shall have the meaning specified in the recitals to the Administration Agreement.

  • Documents includes any and all instruments, documents, agreements, certificates, indentures, notices and other writings, however evidenced.

  • Merger Documents means, collectively, this Agreement, the Certificate of Merger, and all other agreements and documents entered into in connection with the Merger and the other transactions contemplated hereby.

  • Agreement Documents means the instructions to proponents, scope of service, addenda, response to the RFP, and the acceptance of proposal together with all subsequently negotiated agreements, written amendments, modifications, and supplements to such documents and all written authorizations signed by the administrator(s) amending, deleting, or adding to the contract.

  • Securitization Documents means all documentation relating to any Permitted Securitization.

It shall also include all documents required by any governmental agency having jurisdiction over the Apartment Housing in connection with the development, construction and financing of the Apartment Housing, including but not limited to, the approved Plans and Specifications for the development and construction of the Apartment Housing.
