Company Public Filings definition

Company Public Filings means all publicly available filings made by the Company with the SEC.
Company Public Filings means all registration statements, proxy statements and other statements, reports, schedules, forms and other documents required to be filed or furnished by the Company with the SEC and/or HKEX pursuant to applicable Laws and the rules and regulations of NYSE and HKEX, and all exhibits included therein and financial statements, notes and schedules thereto and documents incorporated by reference therein, in each case, filed or furnished with the SEC and/or HKEX from time to time.
Company Public Filings has the meaning specified in Section 3.2(b).

  • As of (A) the date of this Agreement, except as disclosed in any Company Public Filings available as of the date hereof, and (B) the Purchase Option Closing Date, there are no actions by or against the Company pending before any Governmental Authority or, to the knowledge of the Company, threatened to be brought by or before any Governmental Authority, that would, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect on the Company.

  • Except as disclosed in any of the Company Public Filings available as of the date hereof, there are no actions by or against the Company pending before any Governmental Authority or, to the Knowledge of the Company, threatened to be brought by or before any Governmental Authority, that would, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect on the Company.

  • The Company has filed or furnished, as applicable, on a timely basis, all of the Company Public Filings.

  • Except as set forth on SCHEDULE 3.7(C) or in its Company Public Filings, there has been no change in any significant accounting (including tax accounting) policies, practices or procedures of the Company.

  • There are no unconsolidated Subsidiaries of the Company or any off-balance sheet arrangements (as described in Item 5 of Form 20-F promulgated by the SEC) that have not been so described in the Company Public Filings.

  • Notwithstanding the above, disclosures in the Company Public Filings shall not qualify any Company Fundamental Warranties.

  • Except as set forth on SCHEDULE 3.8, or as reported in its Company Public Filings, the Company possesses good, valid and marketable title to, and owns its property and assets free and clear of all Liens.

  • The Company has previously made available to Parent a complete copy of each filing by the Company with the Market Authority of Nasdaq Europe since December 31, 1999 pursuant to the Nasdaq Europe Rule Book (collectively, the "Company Public Filings").

  • Except as disclosed in the Company Public Filings and other than securities issued pursuant to the Incentive Plan from time to time, there are no securities convertible or exchangeable into or exercisable for, or giving any person a right to subscribe for or acquire, any securities of the Company, in each case, that are issued by the Company and remain outstanding.

  • Both before and after giving effect to the transactions contemplated by the Transaction Documents and the Collaboration Documents, (i) each of the Company and its Subsidiaries will be solvent; and (ii) the Group Companies, taken as a whole, will have adequate capital and liquidity with which to engage in their businesses as currently conducted and as described in the Company Public Filings.

Company Public Filings shall have the meaning assigned in Section 4.
Company Public Filings means those filings made by the Company with the SEC's EDGAR database, and shalx xxecifically include the Company's annual report on Form 10-KSB for the fiscal year ended September 30, 2002, filed with the SEC on January 15, 2003, and all reports filed thereafter.

Related to Company Public Filings

  • Public Filings means the reports, schedules, forms, statements and other documents filed by the Company or Bezeq with the SEC or the ISA, as applicable, and publically available at least two (2) Business Days prior to the date of this Agreement.

  • SEC Filings has the meaning set forth in Section 4.6.

  • Company Filings means all documents publicly filed by or on behalf of the Company on SEDAR since January 1, 2020.

  • SEC Documents shall have the meaning specified in Section 4.5.

  • Public Reports includes all reports filed by Company under the Act or the Exchange Act, including pursuant to Section 13(a) or 15(d) thereof, for the two full fiscal years preceding the Effective Date and thereafter.

  • Company Reports has the meaning set forth in Section 3.08(a).

  • Company SEC Documents has the meaning set forth in Section 3.04(a).

  • Company Disclosure Documents is defined in Section 3.4(g) of the Agreement.

  • Company SEC Reports shall have the meaning set forth in Section 3.8(a).

  • SEC Reports shall have the meaning ascribed to such term in Section 3.1(h).

  • Parent Reports has the meaning set forth in Section 4.5(a).

  • Company Proxy Statement has the meaning set forth in Section 3.5.

  • Company Disclosure Schedules means the disclosure schedules delivered by the Company to the Commitment Parties on the date of this Agreement.

  • Disclosure Documents is defined in Section 5.3.

  • Subsequent Disclosure Documents means any financial statements, management’s discussion and analysis, information circulars, annual information forms, material change reports (other than confidential material change reports), business acquisition reports or other documents issued by the Corporation after the Execution Time which are, or are deemed to be, pursuant to applicable Securities Laws, incorporated by reference into the Final Prospectuses or any Prospectus Amendment;

  • Public Disclosure Documents means, collectively, all of the documents which have been filed by or on behalf of the Borrower with the relevant Securities Regulators pursuant to the requirements of Securities Laws, including all documents publicly available on the Borrower’s SEDAR profile.

  • Public records means all writings and recordings that consist of letters, words or numbers, or their equivalent, set down by handwriting, typewriting, printing, photostatting, photography, magnetic impulse, optical or magneto-optical form, mechanical or electronic recording or other form of data compilation, however stored, and regardless of physical form or characteristics, prepared or owned by, or in the possession of a public body or its officers, employees or agents in the transaction of public business.

  • Company Financial Information As defined in Section 2(a)(ii).

  • Public Documents As defined in Section 4.02(a) of this Agreement.

  • Public figure means a person of prominence who performs services at discrete events, such as speeches, public appearances, or similar events, for wages or other remuneration on a per-event basis.

  • Company Disclosure Schedule means the disclosure schedule dated the date hereof regarding this Agreement that has been provided by the Company to Parent and Merger Subsidiary.

  • Company Disclosure Letter has the meaning set forth in Article III.

  • Company Subsidiaries means the Subsidiaries of the Company.

  • Company Material Contracts has the meaning set forth in Section 3.18(a).

  • Disclosure Memorandum means the set of numbered schedules referencing Sections of this Agreement delivered by Seller and dated of even date herewith, as supplemented by new or amended schedules delivered by Seller prior to the Closing.

  • Non-Public Data means Customer Data, other than Personal Data, that is not subject to distribution to the public as public information. It is deemed to be sensitive and confidential by Customer because it contains information that is exempt by statute, ordinance or administrative rule from access by the general public as public information. Non-Public Data includes any data deemed confidential pursuant to the Contract, otherwise identified by Customer as Non-Public Data, or that a reasonable person would deem confidential.
