Compensable Delay means any delay of the completion of the work beyond the expiration date of the Contract Time caused by the gross negligence or willful acts of the County or Owner’s Representative, and which delay is unreasonable under the circumstances involved, and not within the contemplation of the parties. A Compensable Delay may entitle the Contractor to an extension of the Contract Time and/or Contract Sum. Except as provided herein, the Contractor shall have no claim for damage or compensation for any delay, interruption, hinderance, or disruption.
Compensable Delay means an Excusable Delay caused solely by the wrongful acts of the District and which delay is unreasonable under the circumstances and not within the contemplation of the parties. Except as provided herein, Contractor shall have no claim for damage or compensation for any delay, interruption, hindrance, or disruption. If District directs Contractor to perform additional work that requires additional time, the Parties may agree to a time extension and incorporate it by Change Order.

Liquidated damages will not be assessed for any Excusable or Compensable Delay, as set forth above.
Any adjustment of the Contract Time on account of an Excusable Delay or a Compensable Delay shall be limited as set forth herein.
If an Unexcused Delay occurs concurrently with either an Excusable Delay or a Compensable Delay, the maximum extension of the Contract Time shall be the number of days, if any, which the Excusable Delay or the Compensable Delay exceeds the period of time of the Unexcused Delay.
The Contractor expressly agrees that the Contractor’s sole monetary remedy for Compensable Delay shall be calculated at the daily rate established for the Time Dependent Overhead Costs in the Contract.
