Consultant Materials definition

Consultant Materials means the Signed Acceptance Document, the Consultant Hardware, and all other Deliverables other than Third-Party Materials, and any and all information, code, custom developed applications, data, documents, drawings, materials, inventions, technologies, ideas, concepts, processes, methodologies, know-how, works, and other subject matter, including all software, hardware, systems, methods, processes, and devices, and all specifications, descriptions, requirements, plans, and reports, that Consultant or any of its Subcontractors conceives, discovers, designs, develops, reduces to practice, prepares, makes, modifies, improves or, other than Customer Materials and Third-Party Materials, uses, exclusively or nonexclusively in connection with the Services or this Agreement.
Consultant Materials means all devices, documents, data, know-how, methods, processes, software and other inventions, works, technologies and materials, including any and all service software, documentation, computer hardware, programs, reports and specifications, client software and deliverables provided or used by Consultant in connection with performing the scope of work, in each case developed or acquired by the Consultant independently of this Agreement.
Consultant Materials means Materials owned or developed prior to the provision of the Work or developed by Consultant independently from the provision of the Work and without use of the Judicial Council Materials or Confidential Information.

Examples of Consultant Materials in a sentence

  • The CONTRACTOR’s use, in whole or in part, of the Consultant’s JOC Applications, Construction Task Catalog® and other proprietary material provided by the Consultant (Consultant Materials) is subject to Consultant’s JOC System License, and CONTRACTOR may not use Consultant Materials for any purpose other than to execute work under this AGREEMENT for the COUNTY.

  • The Contractor’s use, in whole or in part, of the Consultant’s JOC Applications, Construction Task Catalog® and other proprietary material provided by the Consultant (Consultant Materials) is subject to Consultant’s JOC System License, and Contractor may not use Consultant Materials for any purpose other than to execute work under this County for the County.

  • The Diversion Authority shall have the full ownership of such New Consultant Materials without any limitation or restriction.

  • The Diversion Authority acknowledges and agrees that in the performance of the services, Consultant will utilize and develop customization, enhancements, improvements, modifications and adaptations of and to the Pre-Existing Consultant Materials (the “Derivative Consultant Materials”).

  • The Consultant Materials Testing Technician shall perform all testing requirements per CDOT specifications.

  • Between the parties, subject to the license grant-back set forth below, the Diversion Authority will retain all right, title and interest, including without limitation intellectual property rights, in and to the New Consultant Materials.

  • Any additional use of the Pre- Existing Consultant Materials shall require a separate written license agreement.

  • The Consultant shall furnish the Consultant Materials Testing Technician with the following:• A computer with networking capability sufficient for accessing internet email through a project-supplied internet-service provider.

  • Consultant Materials Testing Technician (MTT) - Consultant employee who performs construction materials testing services, construction inspection, and other project-related services at the direction of the CDOT Project Engineer.

  • The CDOT Project Engineer shall forward a copy of the completed Pre-Testing Meeting Agenda for Consultant Materials Testing to the Region Materials Engineer.


More Definitions of Consultant Materials

Consultant Materials means any Consultant works and/or materials created or owned by, or validly licensed to, Consultant prior to the execution of a Statement of Work or FWO or developed or acquired by, or licensed to,Consultant other than in performance of its obligations under such Statement of Work or FWO. The Consultant Materials (including the Intellectual Property Rights therein) are the sole property of Consultant.
Consultant Materials means anything and everything, in all forms and however recorded, which is proprietary to the Consultant but is not first created or produced in the performance of Work, and which is incorporated into any Deliverables or which is used by the Consultant to perform the Work, including all algorithms, content, Computer Code, data, designs, documentation, flowcharts, formulae, know-how, materials, methods, methodologies, plans, procedures, processes, software development tools, technical information, techniques, technologies, templates, and any other recorded information in any form or on any media. Despite the foregoing, “Consultant Materials” exclude all Consultant Work Inventions.
Consultant Materials means materials, technology, and/or other types of intellectual property, which are proprietary and either owned by Consultant or in which Consultant has obtained rights (including by license), that Consultant has developed, conceived, or acquired and that are, in whole or in part, incorporated into or embodied in any Deliverables. For clarification, Consultant Materials are not Deliverables. To the extent that Consultant Materials are, in whole or in part, incorporated into or embodied in any Deliverables, Consultant grants to the Attorney General, its successors and assigns, a royalty-free, non-exclusive, perpetual, right and license to use, reproduce, and modify such Consultant Materials (as incorporated into or embodied in any Deliverables).
Consultant Materials means the pre-existing tools, utilities, methods, templates and materials owned by Consultant and used in the performance of Services under this Agreement.

  • Client Materials means all works and materials supplied by or on behalf of the Client to the Consultant for incorporation into the Deliverables or for some other use in connection with the Services;

  • Licensed Materials means any materials that Executive utilizes for the benefit of the Company (or any Subsidiary thereof), or delivers to the Company or the Company’s Customers, which (a) do not constitute Work Product, (b) are created by Executive or of which Executive is otherwise in lawful possession and (c) Executive may lawfully utilize for the benefit of, or distribute to, the Company or the Company’s Customers.

  • Plant Material means the leaves, stems, buds, and flowers of the marijuana plant, and does not include seedlings, seeds, clones, stalks, or roots of the plant or the weight of any non-marijuana ingredients combined with marijuana.

  • Contractor Materials means Materials owned or developed prior to the provision of the Work, or developed by Contractor independently from the provision of the Work and without use of the JBE Materials or Confidential Information.

  • Developed Software means software specifically designed for the Principal under the Contract. Depending how advanced its development is, it may be either a Product or a Service or both.

  • Controlled technical information means technical information with military or space application that is subject to controls on the access, use, reproduction, modification, performance, display, release, disclosure, or dissemination. Controlled technical information would meet the criteria, if disseminated, for distribution statements B through F using the criteria set forth in DoD Instruction 5230.24, Distribution Statements on Technical Documents. The term does not include information that is lawfully publicly available without restrictions.

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).

  • Standard Materials means all Materials not specified as Custom Materials.

  • Third Party Materials means materials and information, in any form or medium, including any software, documents, data, content, specifications, products, equipment or components of or relating to the Services that are not proprietary to NCIT.

  • Assistive technology means the devices, aids, controls, supplies, or appliances described in OAR 411-300-0150 that are purchased to provide support for a child and replace the need for direct interventions to enable self-direction of care and maximize independence of the child.
