Control Procedure definition

Control Procedure means a procedure for processing and agreeing a change to this Agreement and a Statement of Work, as set out in Clause 15; Charges means the PSP charges including any agreed expenses or disbursements and the Management Fee as detailed in Clause 12; Commencement Date means the date of this Agreement first stated above; Confidential Information means all information, which might fairly be considered to be of confidential nature, in the disclosing Party’s possession or control, whether such information was created before or after the Commencement Date and whether or not such information is marked “confidential”, including: (a) all financial, technical, operational, commercial, employee, management and other information, Data, personal data, experience and expertise of whatever kind (including information relating to trade secrets, know-how, designs, operations, processes, plans, intentions, marketing opportunities and sales information, business plans and dealings); and (b) this Agreement and all the negotiations relating to it, but the definition of Confidential Information shall not include information which: i) is in the public domain at the time of disclosure or which subsequently comes into the public domain through no fault of the receiving Party; (ii) was already lawfully in the possession of the receiving Party prior to its disclosure; iii) is subsequently disclosed to the receiving Party by a third party who did not obtain it (directly or indirectly) from the disclosing Party; or iv) is developed by any of the receiving Party as a result of its own efforts, without access to, or use or knowledge of, the relevant part of the disclosing Party’s Confidential Information; Consents means all approvals, certificates, authorisations, permissions, licences, permits, regulations and consents necessary from time to time for the performance of the Services and/or Goods delivery; Contract Year a period of twelve (12) months (or shorter period in the period immediately prior to the end of the Term) commencing on the Commencement Date or on the anniversary of the Commencement Date;
Control Procedure means the process by which any Change is agreed as set out in clause 8;
Control Procedure means the procedures for management of Changes as set out in Schedule 10; Change Manager means the person appointed by a Party in accordance with Clause 9; Change Management Steering Group means the steering group as referred to our described in Schedule 9; Change Management Team means the change management team as referred to or described in Schedule 9; Change Order means the change order described as such in Schedule 10; Change Recommendation means a recommendation for Change by the Service Provider submitted as an Evaluation Quotation Report in accordance with Schedule 10; Charges means the fees for the performance of the Services (including any costs and expenses) as calculated in accordance with Clause 7 and Schedule 7 and payable to the Service Provider in accordance with Clause 8; Charging Base has the meaning set out in Schedule 7; Commencement Date means the date on which completion of the hive down occurs, as set out in the Hive Down Agreement; ConQuest means the IT System by which Users submit queries to the Service Provider concerning the accuracy of data held on the S&M Database;

  • The Supplier shall consider any request by the Customer to increase the number of Story Points for a Release, and may, subject to the Change Control Procedure set out at Clause 28, agree to such request.
