The purpose of this agreement is to memorialize the rights and obligations of the San Francisco Municipal Transportation Agency (SFMTA or Agency) and the Union in accordance with CA Government Code Sections 3555-3559, through the creation of a single, Agency-wide Union Access to New Employees Program applicable to all SFMTA Divisions and all SFMTA Service- Critical Employee Unions.
None of the Critical Employees shall have ceased to be employed by, or expressed an intention to terminate their employment with, the Company, expressed an intention not to accept employment with Parent or the Surviving Corporation or repudiated their Critical Employee Retention Agreement.
Offers of employment to Owner Employees in Critical Employee Positions shall remain open for a period of thirty (30) Business Days, and such employees may accept Operator’s offer of employment on the terms and conditions set forth therein.
If such employee rejects the offer of employment, or Operator deems that an Owner Employee occupying a Critical Employee Position is not qualified to do so, Operator shall use its commercially reasonable efforts to hire as promptly as possible a replacement for such employee, with a view towards ensuring that such replacement is trained in the relevant Critical Employee Position by the date that is thirty (30) days prior to the Target Service Commencement Date.
Except with respect to any Critical Employee, all such offers of employment pursuant to this Section 5.05(a) will be for employment at will, and Opco may terminate any Transferred Employee at any time and for any reason following the Closing Date.
