Current Share Value means, as of any date (the "computation date"), the average of the closing per share sales prices of Xxxxx Common Stock during the ten trading days consisting of (i) the five consecutive trading days ending on the last day of the calendar month immediately preceding the calendar month in which the computation date falls and (ii) the five consecutive trading days ending on the computation date, in each case, on the Composite Tape of the New York Stock Exchange or, if shares of Xxxxx Common Stock are not then listed on the New York Stock Exchange, on the principal United States securities exchange registered under the Exchange Act on which shares of Xxxxx Common Stock are then listed or, if shares of Xxxxx Common Stock are not then listed on any such stock exchange, the average of the average closing bid and ask quotations with respect to a share of Xxxxx Common Stock during the ten trading days consisting of (A) the five consecutive trading days ending on the last day of the calendar month immediately preceding the calendar month in which the computation date falls and (B) the five consecutive trading days ending on the computation date, in each case, on the NASDAQ or any successor system then in use or, if no such quotations are then available, the average of the bid and asked prices with respect to a share of Xxxxx Common Stock for such trading days, as furnished by a member of the New York Stock Exchange regularly making a market in the Xxxxx Common Stock selected by the Xxxxx Board, or, if no such member firm is then making a market in Xxxxx Common Stock, the fair market value on the computation date of a share of Xxxxx Common Stock as determined in good faith by a majority of the members of the Xxxxx Board after consultation with an independent financial advisor of recognized national standing.

Current Share Value means the lower of (i) $.20 and (ii) the average closing price per share of Parent Common Stock as reported on the OTC Bulletin Board (or such other market on which such share of common stock are then listed) for the twenty five (25) trading days immediately preceding the date of such Award Event, subject to equitable adjustment as the parties agree in the event of a stock split, recapitalization, stock dividend, distribution or reclassification. An Award Event will be deemed to have occurred pursuant to (a)-(c) if the research studies in support of a Phase II, III or NDA filing have been completed satisfactorily and the results support a reasonable conclusion that a Phase II, III or NDA filing should be pursued, notwithstanding that the actual filing has not been submitted to the FDA for consideration within the time applicable period specified in (a) - (c) hereof.

  • Per Share Value means the average value of the consideration to be received in respect of each outstanding Common Share pursuant to the Qualifying Transaction as determined by mutual agreement of the Independent Directors (as defined in Section 2(b)(ii) below) and the holders of not less than 50% in interest of all outstanding warrants to purchase Common Shares containing this provision, or, if they shall fail to agree, by an Investment Bank.

The determination of fair market value by an Independent Appraiser shall be based upon the fair market value of the Issuer determined on a going concern basis as between a willing buyer and a willing seller and taking into account all relevant factors determinative of value, and shall be final and binding on all parties. In determining the fair market value of any shares of Common Stock, no consideration shall be given to any restrictions on transfer of the Common Stock imposed by agreement or by federal or state securities laws, or to the existence or absence of, or any limitations on, voting rights.

  • Class A Ordinary Share Value means, as of the close of business on the day preceding the date, the volume weighted average trading price of the Class A Ordinary Shares on all trading platforms or trading systems on which the Class A Ordinary Shares are being traded over the forty-five (45) trading days then ended, provided, that if the total aggregate trading volume over such 45-trading-day period is less than 5% of the public float, such period shall be extended to the ninety (90) trading days then ended, provided, further, if the total aggregate trading volume over such 90-trading-day period is less than 5% of the public float, the holder of the Class B Ordinary Shares shall request that the Board obtain an appraisal of the value of the Class A Ordinary Shares from one or more independent nationally-recognized third party appraisal companies and such appraisal shall constitute the Class A Ordinary Share Value.
