Data Archive means the documents posted on or before 11:59 pm on the date immediately prior to the date of this Agreement to the electronic data room established through Xxxxxxx Communications, LLC for purposes of the transactions contemplated by this Agreement. Prior to 11:59 pm on the date immediately prior to the date of this Agreement, the Company shall remove or cause to be removed from the Data Archive any and all documents or information that could be reasonably expected to result in a waiver of attorney-client privilege. As soon as practicable after the date of this Agreement, but in no event more than two (2) Business Days following the date of this Agreement, the Company will deliver to Parent on one or more CD-ROM disks a complete and accurate electronic copy of the Data Archive.
