Licensee may use Data Output to derive conclusions or recommendations that form part of Licensee’s services to its customers, but Licensee may not provide Data Output as part of those services.
Any authorized disclosure of Data Output to third parties must prohibit those third parties from selling, sublicensing or disclosing the Data Output to additional third parties and from using the Data Output for any purpose other than as authorized in the applicable Order(s).
Additional terms of authorized use are as set forth in the applicable Order, and may include limitations on: (i) the number of Users; (ii) the Application authorized to access the Licensed Products and use the Data Output; and (iii) the number of Transactions processed or Data Records accessed using the Licensed Products.
Confidential Information includes, but is not limited to, Customer Data, Output, the terms of this Agreement as well as components of the business plans, inventions, product plans, design plans, financial plans, computer programs, know-how, customer information, strategies, marketing plans, technology and technical information, business processes and other similar information.
Unless otherwise set forth in the applicable Order, Licensee is granted a perpetual license to continue to use the Data Output upon expiration or termination of the license to Data Products, which will continue to be governed by this Agreement and the Order.
During the Term, certain De- identified Data Output via the Platform or some other distribution infrastructure may be shared amongst all Parties, as determined by the Advisory Committee.
The Consortium Plan shall set forth the details for which Work Product derived from the De-identified Data Output shall be circulated to Consortium Participants.
Accordingly, during the Term, Solutions hereby grants to each Consortium Participant a non-exclusive, royalty-free, worldwide license to Use any De-identified Data Output and Work Product derived therefrom in accordance with the terms of this Agreement and Applicable Law (the “Consortium Participant License”).
If the WA-APCD determines that Data output violates the WA-APCD DUA the Recipient will be notified and must modify the Data Output prior to its release.
