Developer Documents definition

Developer Documents means, collectively, this Agreement, the Capital Lease, the Construction Loan Documents, the Ground Lease, the SNDA and any other documents executed and delivered by the Developer at the time of Closing. For purposes of Article 5 and the representations made therein as of the Date of Delivery, “Developer Documents” means this Agreement.

  • By all necessary action, the Developer represents that it has duly authorized and approved the execution and delivery of the Developer Documents, and the performance by the Developer of its obligations contained in the Developer Documents and as of the date hereof, such authorizations and approvals are in full force and effect and have not been amended, modified or rescinded.

  • No “Event of Default” or “event of default” by the Developer under any of the Developer Documents, any documents to which Developer is a party described in the Limited Offering Memorandum, or under any material documents relating to the financing and construction of the Major Improvements to which the Developer is a party, or event that, with the passage of time or the giving of notice or both, would constitute such “Event of Default” or “event of default,” by the Developer has occurred and is continuing.

  • The Developer has the power and authority to execute, deliver and perform its obligations under this Agreement and the other Principal Developer Documents.

  • Buyer Documents has the meaning set forth in Section 5.2.

  • RFP Documents means the following documents to be entered into by the parties to the respective agreements in connection with the supply of power:

  • Contractor Documents means one or more document, agreement or other instrument required by Contractor in connection with the performance of the products and services being purchased by the State, regardless of format, including the license agreement, end user license agreement or similar document, any hyperlinks to documents contained in the Contractor Documents, agreement or other instrument and any other paper or “shrinkwrap,” “clickwrap,” “browsewrap” or other electronic version thereof.

  • User Documentation means that documentation regarding the operation, guidelines and features and functionality of Clover Insights that is made available to you from time to time at the website, by internet link or otherwise. User Documentation may be modified from time to time by First Data or its third party provider(s).
