Discontinued Target definition

Discontinued Target means any Target that has by any of the terms of this Agreement become a “Discontinued Target”.
Discontinued Target has the meaning set forth in Section 2.2.
Discontinued Target means a Target with [***] pursuant to Sections 2.2.3, 2.3.3, 4.4, 5.4 or 15.2.1, or as to which Xxxxx has exercised a right of termination under Section 14.2. In case of termination of this Agreement in its entirety by Xxxxx under Section 14.2 or by Dicerna for cause under Section 14.3 then all Selected Targets shall be considered Discontinued Targets.

Examples of Discontinued Target in a sentence

  • Upon Moderna’s receipt of such written notice, such Research Target will be excluded from the Services Program and will automatically become a Discontinued Target.

  • Once a Project Target becomes a Discontinued Target: (a) all rights and licenses granted under this Agreement will terminate with respect to such Discontinued Target, and (b) neither Party will be restricted under this Agreement from developing and commercializing compounds and products that are Directed To such Discontinued Target at its own cost and expense.

  • AstraZeneca will have the right to terminate this Agreement in full upon delivery of written notice to Moderna in the event of any material breach by Moderna of any terms and conditions of this Agreement [***]; provided, that to the extent that any such breach is limited to a particular Target, AstraZeneca will have the right to terminate this Agreement only with respect to such Target, and such Target will become a Discontinued Target.

  • If an Option is exercised for a Development Polypeptide, the Development Polypeptide and Development Pool Candidates [***] such Development Polypeptide will cease to be in the Development Pool, but the applicable Research Target will not become a Discontinued Target.

  • For clarity, any Discontinued Target will no longer be considered a Collaboration Target, and Regulus’ obligations under this Agreement with respect to such Discontinued Target (including but not limited to Section 2.4) will terminate, and AstraZeneca shall grant the limited licenses set forth in Article 10 with respect to such Discontinued Target.


More Definitions of Discontinued Target

Discontinued Target has the meaning set forth in Section 3.3.7(a). [***]
Discontinued Target means: (a) a Target that was previously a Lilly Target or Project Target but has been replaced by a Replacement Project pursuant to Section 3.5; (b) a Project Target for which Lilly discontinues Research pursuant to Section 3.6 or (c) a Project Target for which Lilly’s rights and licenses hereunder are terminated in accordance with this Agreement, including Article 13.
Discontinued Target means any Target (a) that ALEXION replaces with a replacement Target pursuant to Section 2.2.2(b), or (b) for which ALEXION has not delivered to DICERNA a Development Decision notice by the end of the last Evaluation Period for a Candidate Product directed to such Target in accordance with Section 2.2.3.
Discontinued Target means: (a) a Collaboration Target for which Lilly discontinues Research pursuant to Section 4.2.3; (b) a Collaboration Target for which the JRC determines not to develop further a Development Candidate pursuant to Section 4.4; or (c) a Collaboration Target for which the period in Section 4.4 lapses.
Discontinued Target means (a) for a given Research Target, that (i) the Development Target Nomination Period for such Research Target has expired and Moderna did not nominate such Research Target as a Development Target pursuant to Section 2.9 prior to such expiration of such Development Target Nomination Period, or (ii) such Research Target was replaced by Moderna pursuant to Section 2.4 or Section 2.5, (b) for a given Pre-Cleared Target, that such Pre-Cleared Target did not become a Research Target prior to the expiration of the Research Term, or (c) for a given Development Target, that (i) such Development Target was replaced by Moderna pursuant to Section 2.9.2, or (ii) Moderna has provided written notice to Carisma that it has ceased all Development and Commercialization of Products with respect to such Development Target pursuant to Section 3.3. A Research Target that becomes a Discontinued Target pursuant to clause (a) above shall be deemed a Discontinued Target for purposes of ARTICLE IV and Section 8.3.1 from and after the date that is [**] after (w) the expiration of the Development Target Nomination Period for such Research Target with respect to clause (a)(i) or (x) the replacement of such Research Target pursuant to Section 2.4 or Section 2.5 with respect to clause (a)(ii), and prior to such date such Research Target shall continue to be deemed a Collaboration Target subject to ARTICLE IV. A Development Target that becomes a Discontinued Target pursuant to clause (c) above shall be deemed a Discontinued Target for purposes of ARTICLE IV from and after the date that is [**] after (y) the designation of a replacement for such Development Target pursuant to Section 2.9.2 with respect to clause (c)(i) or ​
Discontinued Target means a Selected Target which Novartis is no longer interested in or for which Novartis fails to meet its due diligence obligations in accordance with Section 7.3.
