Earnout Share Price definition

Earnout Share Price means the volume weighted average price (with respect to any Trading Day for which such average is being calculated, the aggregate sales price of all trades of Buyer Common Stock during such Trading Day divided by the total number of shares of Buyer Common Stock traded during such Trading Day) of the Buyer Common Stock for the twenty (20) Trading Days immediately preceding, up to and including, the last day of an Earnout Period as reported by Bloomberg L.P. using the AQR function.
Earnout Share Price means the volume weighted average closing trading price of the Buyer Common Stock on the Nasdaq for the last twenty (20) days prior to the issuance of the Earnout Shares.
Earnout Share Price means the final quoted price on the close of Nasdaq as of the Effective Date.

  • In the event that the Earnout Revenue Target and Earnout Share Price Target are not both met for any Earnout Year, the Sellers shall not be entitled to receive any Earnout Shares for such Earnout Year.

Xxxxxxx dated the date even herewith (the "Dunstan Employment Agreement") then the Stockholders shall be issued a number of shares such that the Stockholders shall have earned not less than 250,000 Contingent Shares on the date of such termination or (ii) terminated on or before June 30, 2004, and such termination is for other than "Cause" then the Stockholders shall be issued a number of shares such that the Stockholders shall have not earned less than 400,000 Contingent Shares. Earnout Share Price means the average trading price of HSA Common Stock on the Nasdaq National Market (as reported in the New York City edition of the Wall Street Journal or, if not reported thereby, another nationally recognized source) for the twenty (20) consecutive trading days ending on (and including) June 29, 2001; provided that if such Earnout Share Price would require HSA to issue a number of Earnout Shares which would require HSA to obtain shareholder approval pursuant to NASD Rule 4460(i)(1)(C), then HSA shall be required to issue the greatest number of Earnout Shares which does not require such approval.

  • Final Share Price for a Share means the Closing Price on the Exchange (or where such Exchange does not announce or publish a Closing Price, the last traded price, or, if necessary, the mid-market price) for that Share on the Final Valuation Date, subject to adjustments that may be made pursuant to “DESCRIPTION OF THE NOTES – Adjustments and Exceptional Circumstances”.

  • Per Share Consideration means (i) if the consideration paid to holders of the Common Stock consists exclusively of cash, the amount of such cash per share of Common Stock, and (ii) in all other cases, the volume weighted average price of the Common Stock as reported during the ten (10) trading day period ending on the trading day prior to the effective date of the applicable event. If any reclassification or reorganization also results in a change in shares of Common Stock covered by subsection 4.1.1, then such adjustment shall be made pursuant to subsection 4.1.1 or Sections 4.2, 4.3 and this Section 4.4. The provisions of this Section 4.4 shall similarly apply to successive reclassifications, reorganizations, mergers or consolidations, sales or other transfers.   • Total Shareholder Return means the total return (change in share price plus reinvestment of any dividends) of a Share.
