Electronic Files definition

Electronic Files means data files in a format created by software commonly available to the general public such as Adobe Acrobat, Microsoft Excel or Word, and consumer accounting programs. Electronic files do not include data files in a format created by proprietary software or software commonly unavailable to the general public.
Electronic Files means machine-readable files provided by or on behalf of Licensor in a standard or otherwise agreed format that will allow Portico to readily extract and reproduce the textual, audiovisual and other content of a Publication. The Electronic Files and their delivery are described in further detail in Annex II.
Electronic Files means any text, illustration, Data or other information supplied by the Customer. Initial Assessment means the initial assessment of a Support Query undertaken by the Support Providers as set out below, advising you of further actions, and estimated timescales of those actions, required to resolve a Support Query.

Examples of Electronic Files in a sentence

  • Licensor agrees to deliver and otherwise cooperate with Portico in making available to Portico on a timely basis the Electronic Files for all Publication(s).

  • Licensor agrees to cooperate with Portico to provide such notice as to any portion(s) of such Publication(s) with respect to which Licensor cannot make the representation (or can only make the representation as to Delivery at a reduced resolution or in accordance with other limitations imposed by third parties) in agreed upon electronic or digital form as part of the Electronic Files or by some other mutually acceptable means.

  • Portico may create Archival Versions of the volumes of Publication(s) for which Portico has received the Electronic Files as of the effective date of termination and continue to retain, migrate and Deliver copies of the Archival Versions of Publication(s) to its Authorized Users in accordance with the terms of this Agreement, and the provisions of this Agreement shall survive the effective termination date solely with respect to such volumes of Publication(s).

  • In the event of termination, Licensor shall have no obligation to pay an annual contribution for any year after the effective date of termination and no obligation to continue to make available Electronic Files or to otherwise permit the archiving of any volumes of Publication(s) that have not yet been delivered to Portico.

  • Portico will retain any visible copyright notices in the Electronic Files in the Archival Versions, and will display a copyright notice identifying the holder of the copyright in the Publication (or if Licensor fails to provide the name of the owner, identifying Licensor as the owner of the copyright in Publication).


More Definitions of Electronic Files

Electronic Files means Materials that are provided by the Customer to Clone Media by all electronic means. “Goods” means the work to be produced by Clone Media pursuant to the Contract.
Electronic Files means any electronic file, with the same information and detail and in the same format, as the electronic file delivered to Ally in connection with the April 18, 2008 credit facility extended by Ally to GMACM and RFC (or such other information, detail or format as is acceptable to the Lender), posted to a website by the Borrowers in a manner accessible to the Lender Agent, which file will reflect mortgage loans serviced by the Borrowers as of the close of business on the last Business Day of the preceding calendar month.
Electronic Files means (i) the electronic data file delivered by the Borrowers to the Lender Agent immediately prior to the Closing Date with respect to the Initial Collateral, and (ii) an electronic data file related to any Collateral Value Report, substantially in the form of the file described in clause (i).
Electronic Files means any electronic file or date tape, in form and substance acceptable to the Administrative Agent and containing the information agreed to between the Borrower and the Administrative Agent.
Electronic Files means the Initial Electronic File or any Subsequent Electronic File, as the context requires.
Electronic Files means media content (other than computer programs or system files) that are intended to be used in either an electronic form or as printed output. This includes, but is not limited to, email, documents, spreadsheets, images, photographs, presentations and GIS files.
Electronic Files means any electronic files developed or created by Standard with any Client Electronic Data.
