Employment Transfer Date means the thirtieth day after the day on which this paragraph comes into force; and

More Definitions of Employment Transfer Date
Employment Transfer Date means (a) with respect to Target Entity Employees, the Closing Date, and (b) with respect to Asset Employees who are Transferred Business Employees, except if earlier as required by operation of applicable Law, (i) the date on which an Active Employee’s employment with Seller and its Affiliates ends and the Active Employee becomes an employee of Purchaser or its Affiliates or (ii) for Inactive Employees, the later of (A) the date in clause (i), and (B) the date that such Inactive Employee is cleared to return to work as provided in Section 5.7(f) and commences active employment with Purchaser or its Affiliates. No provision of this Agreement shall be construed as precluding or prohibiting different Employment Transfer Dates with respect to Transferred Business Employees’ commencement of employment with Purchaser or its Affiliates.
Employment Transfer Date means (i) the Closing Date for each Business Employee (other than Subsequent Acquired Store Employees) who is working or scheduled to work on the Closing Date or is absent from work on account vacation or paid-time off, (ii) the date such Business Employee is scheduled to and does return to active employment for each Business Employee who is on leave of absence or short-term term disability, and (iii) the date the applicable Real Property Lease is assumed and assigned to Buyer in accordance with the Designation Rights Agreement for each Subsequent Acquired Store Employee.

For the avoidance of doubt, the Insurance Policies shall not include any insurance contracts, policies, certificates, binders, slips, covers or other agreements of insurance (a) as to commercial lines, (b) written outside the Territory or (c) not identified as constituting Southeast Homeowners Lines as defined herein. “Knowledge” means the actual knowledge, after reasonable inquiry, of those individuals listed (a) with respect to Seller, Seller Parent or UIM, on Section 1.1(a) of the Seller Disclosure Schedule, and (b) with respect to Purchaser, on Section 1.1(a) of the Purchaser Disclosure Schedule. “Liability” or “Liabilities” means a liability, obligation, commitment, expense, claim or cause of action (of any kind or nature whatsoever, whether absolute, accrued, contingent or other, and whether known or unknown). “Losses” means any damages, claims, losses, Liabilities, charges, Actions, suits, proceedings, deficiencies, Taxes, fees, assessments, interest, penalties and reasonable costs and expenses (including reasonable out-of-pocket attorneys’ fees and expenses), but excluding consequential, special, incidental, indirect or punitive damages, lost profits, diminution in value or similar items. “Material Adverse Effect” means (a) a material adverse effect on the business, operations, results of operations or financial condition of Seller, solely...
