Foreign Guarantees definition

Foreign Guarantees means those guaranty agreements given to Lender by Glasshouse (UK) in the form attached hereto as Exhibit J.

  • In addition to the guarantee contained herein, each Guarantor that is a Foreign Subsidiary, as well as Holdings, shall execute a Guarantee governed by the applicable law of such Person’s jurisdiction of organization (each such Guarantee, a “Foreign Guarantee”) and to the extent that the provisions of this Article VII shall duplicate or conflict with the provisions thereof, the terms of the Foreign Guarantees shall govern the obligations of such Guarantors.

  • The Loans and Commitments established pursuant to this Section 2.23 shall constitute Loans and Commitments under, and shall be entitled to all the benefits afforded by, this Agreement and the other Loan Documents, and shall, without limiting the foregoing, rank pari passu with the other Loans in right of payment and benefit equally and ratably from the Guarantees, Foreign Guarantees and security interests created by the Security Documents.

  • If any Borrower is unable for any reason to effect payment in a foreign currency as required to repay a draw under an Existing Letter of Credit or a call under any of the Special Foreign Guarantees or if any Borrower shall default in the foreign currency, Wachovia may require such payment to be made in Dollars in the Dollar Equivalent amount of such payment.


More Definitions of Foreign Guarantees

Foreign Guarantees the documents set forth on Schedule B hereto, together with any document, instrument or agreement entered into after the Closing Date pursuant to 6.9 providing for the guarantee of all or any part of the Obligations by any Foreign Subsidiary.
Foreign Guarantees means the guarantees of such of the Company's Subsidiaries as own, hold or otherwise have an interest in the Foreign Collateral (from time to time), guaranteeing the proper and complete performance of the Obligations. Related to Foreign Guarantees

  • Foreign Guaranty means a Corporate Guaranty provided by an Affiliate of a Participant that is domiciled in a foreign country, and meets all of the provisions of Tariff, Attachment Q. Form 715 Planning Criteria: “Form 715 Planning Criteria” shall have the same meaning provided in the Operating Agreement.

  • Canadian Guarantee means the Canadian Guarantee Agreement, made by each of the Canadian Guarantors in favor of the Canadian Administrative Agent for the benefit of the Lenders to the Canadian Borrower, substantially in the form of Exhibit A-1, as the same may be amended, supplemented or otherwise modified from time to time.

  • Subsidiary Guarantees means the guarantees of each Subsidiary Guarantor as provided in Article Thirteen.

  • Foreign Guarantor means any Guarantor that is not organized under the laws of the United States or any jurisdiction within the United States.

  • Guarantee and Collateral Agreement the Guarantee and Collateral Agreement to be executed and delivered by the Borrower and each Subsidiary Guarantor, substantially in the form of Exhibit A, as the same may be amended, supplemented or otherwise modified from time to time.
