Former Business Employees definition

Former Business Employees means former employees of the Spinco Group and former employees of the GGP Group who were last employed in the Spinco Business, as identifiable on GGP’s payroll and employment records (including, without limitation, individuals listed on Schedule C hereto).
Former Business Employees means all persons who were not employees of any FHS Company or any Asset Seller with respect to the Business immediately preceding the Closing Date but who were formerly employed by any FHS Company or any Asset Seller with respect to the Business or predecessors thereof, and whose service with any FHS Company or any Asset Seller and their respective Affiliates or predecessors terminated prior to the Closing Date including, without limitation, those who are retired.
Former Business Employees means each former employee of Dow who as of immediately prior to such former employee’s termination of employment with Dow would have been a Business Employee according to the Identification Criteria;

Examples of Former Business Employees in a sentence

  • For the avoidance of doubt, except as contemplated by clause (A) of this Section 6.6(a)(i), the term Purchaser Assumed Employee Liabilities shall not include Liabilities with respect to current or former employees of Seller Parent or its Affiliates who are not Business Employees or Former Business Employees.

  • All provisions contained in this Agreement are included for the sole benefit of the respective parties to this Agreement and shall not create any right in any other Person, including, without limitation, any Business Employees, Former Business Employees, any Beneficiary or any participant in any GGP Plan.


More Definitions of Former Business Employees

Former Business Employees means (i) all persons who were not employees of any Electrical Company or any Asset Seller with respect to the Business immediately preceding the Closing Date but who were formerly employed by any Electrical Company or any Asset Seller with respect to the Business or predecessors thereof and whose service with any Electrical Company or any Asset Seller and their respective affiliates or predecessors terminated prior to the Closing Date including, without limitation, (A) those who are retired and, (B) with respect to the United States only, those paid on a salaried basis who are Long Term Disabled and (ii) the Refusing Employees; but excluding, with respect to the United States, those persons who are entitled as of the Effective Benefits Time to severance and termination pay benefits under the U.S. Business Severance Policies and Practices with respect to whom such severance and termination pay benefits are reflected on the Closing Balance Sheet.
Former Business Employees means Business Employees existing immediately prior to the Closing.
Former Business Employees means all individuals previously employed by the Sellers whose duties related primarily to the Business immediately prior to their termination of employment from the Sellers.
Former Business Employees means those individuals previously employed as officers or employees of the Business (including the Excluded Employees), whose employment with the Business was terminated before the Closing Date and with respect to whom Post-Employment Benefits are payable and, if applicable, any such individual's heirs or other Persons entitled to all or any part of such individual's Post-Employment Benefits.

Former Business Employees means (i) all persons who were not employees of any Brake Company or any Asset Seller with respect to the Business immediately preceding the Closing Date but who were formerly employed by any Brake Company or any Asset Seller with respect to the Business or predecessors thereof and whose service with any Brake Company or any Asset Seller and their respective affiliates or predecessors terminated prior to the Closing Date including, without limitation, (A) those who are retired and, (B) with respect to the United States only, (x) those paid on a salaried basis who are Long Term Disabled and (y) those on an unauthorized leave of absence and (ii) the Refusing Employees and those Business Employees employed by any Asset Seller with respect to the Business who do not accept employment as offered by Purchaser in accordance with Section 6.6(b)(i); but excluding, with respect to the United States, those persons who are entitled as of the Effective Benefits Time to severance and termination pay benefits under the U.S. Business Severance Policies and Practices and with respect to whom such severance and termination pay benefits are reflected on the Closing Balance Sheet.
