French Collateral Documents definition

French Collateral Documents means the French Collateral Agreements and each security agreement, pledge, hypothec, mortgage or other instrument or document, as applicable, governed by French law in connection with this Agreement and the Agreed Security Principles to secure the applicable Secured Obligations.
French Collateral Documents has the meaning assigned to such term in Section 11.03.
French Collateral Documents means the French Collateral Agreements and each security agreement, pledge, mortgage, any type of security (sûreté réelle), transfer or assignment by way of security and fiducie-sûreté or other instrument or document, as applicable, governed by French law in connection with this Indenture and the Agreed Security Principles to secure any of the Obligations; provided that each French Collateral Document shall be in form and substance acceptable to the Notes Collateral Agent.

Examples of French Collateral Documents in a sentence

  • Notwithstanding anything to the contrary contained herein, the Agents and/or the Lenders expressly reserve and maintain their rights and prerogatives under the French Collateral Documents in accordance with the provisions of Article 1278 of the French Code civil.

  • With respect to the French Borrower, a list of all its Inventory, a list of all its present and future Accounts to be assigned under the French Collateral Documents, and a list of all amounts outstanding to its RoT Suppliers.

More Definitions of French Collateral Documents

French Collateral Documents shall have the meaning provided in Section 12.14(a).
French Collateral Documents means collectively all French law agreements, instruments or documents delivered by the French Subsidiary or any other Subsidiary of Company which is a shareholder of the French Subsidiary pursuant to this Agreement or any of the other Loan Documents in order to grant to the Administrative Agent, on behalf of the Secured Parties, a lien on certain assets of the French Subsidiary or the shares issued by the French Subsidiary and owned by a Loan Party to be agreed between the French Subsidiary or any other Subsidiary of Company which is a shareholder of the French Subsidiary and the Administrative Agent and securing the obligations of the French Subsidiary as guarantor under the French Guaranty.
French Collateral Documents means each of the Dutch Holdings Share Pledge Agreement (French), the Euramax Share Pledge Agreement (French), and each of the 2003 French Amendatory Documents, as the same may be amended, restated, supplemented, or otherwise modified from time to time.
French Collateral Documents means the master receivables assignment agreements (and each bordereau de cession de créances professionnelles relating thereto), the pledge over bank accounts, charged account control deed and notice of pledge, and all other instruments and agreements delivered by any French Borrower pursuant to this Agreement or any of the other Credit Documents in order to grant to Collateral Agent, for the benefit of the Secured Parties, a Lien on any real, personal or mixed property of such French Borrower as security for the Non-US Obligations, in form and substance reasonably satisfactory to the Collateral Agent.

  • Collateral Documents means, collectively, the Security Agreement, each of the Mortgages, collateral assignments, security agreements, pledge agreements, intellectual property security agreements or other similar agreements delivered to the Administrative Agent and the Lenders pursuant to Section 6.11 or Section 6.13, and each of the other agreements, instruments or documents that creates or purports to create a Lien in favor of the Administrative Agent for the benefit of the Secured Parties.

  • Additional Collateral Documents as defined in the Base Intercreditor Agreement.

  • Second Priority Collateral Documents means the Noteholder Collateral Documents and any other agreement, document or instrument pursuant to which a Lien is now or hereafter granted securing any Second Priority Claims or under which rights or remedies with respect to such Liens are at any time governed.

  • UK Security Documents means the UK Pledge Agreements and the UK Debenture.

  • U.S. Collateral Agreement means the U.S. Guarantee and Collateral Agreement, as amended, supplemented or otherwise modified from time to time, in the form of Exhibit E, among Holdings, Intermediate Holdings, the U.S. Borrower, each Domestic Subsidiary Loan Party and the Collateral Agent.

  • ABL Security Documents means any agreement, document or instrument pursuant to which a Lien is granted securing any ABL Obligations or under which rights or remedies with respect to such Liens are governed.

  • Cash Collateral Agreement shall have the meaning provided in Section 5.2(b).

  • Foreign Security Documents means any agreement or instrument entered into by any Foreign Subsidiary Borrower that is reasonably requested by the Collateral Agent providing for a Lien over the assets (including shares of other Subsidiaries) of such Foreign Subsidiary Borrower.

  • First Priority Documents means the First Priority Agreement, each First Priority Security Document and each First Priority Guarantee.

  • Canadian Security Documents means the Canadian Security Agreement, any share pledge agreement governed by Canadian law which provides for a Lien in favor of the Agent as security for any of the Obligations, and each other agreement, document or instrument executed by any Loan Party governed by Canadian law which provides for a Lien in favor of the Agent as security for any of the Obligations.

  • Second Priority Documents means each Second Priority Agreement, each Second Priority Security Document and each Second Priority Guarantee.

  • Collateral Agreements means the agreements and arrangements listed in Schedule 3;

  • U.S. Security Documents means and include the U.S. Security Agreement, the U.S. Pledge Agreement, each Mortgage covering a U.S. Mortgage Property and each Additional Security Document covering assets of a U.S. Credit Party situated in the United States.
