Frontier Group definition

Frontier Group has the meaning set forth in Section 4.09.
Frontier Group means Frontier and the Frontier Subsidiaries.
Frontier Group means the Company and its direct and indirect subsidiaries.

  • To the extent that any Frontier Subsidiary is responsible for any of the Spinco Liabilities, each member of the Frontier Group shall be jointly and severally liable for the payment of such Liabilities by such Frontier Subsidiary.

  • The Frontier Group shall credit each Spinco Employee with the amount of accrued but unused vacation time, sick time and other time-off benefits (together the “Time-Off Benefits”) as such individual had with the Verizon Group or the Spinco Group as of the Effective Time and shall provide such individuals with the same rights, benefits, and entitlements in respect to such Time-Off Benefits as they were entitled to from the Verizon Group or the Spinco Group as of the Effective Time.

  • For purposes of this provision, “cause” shall be determined by Frontier or the applicable member of the Frontier Group and shall include, without limitation, any misconduct or failure to follow Frontier’s policies and procedures; provided, however, that with respect to any Represented Employee, any termination of employment for cause must comply with the terms of the applicable collective bargaining agreement.

  • For the avoidance of doubt, no provision of this Agreement, the Distribution Agreement or the Merger Agreement and no actions taken by any member of the Verizon Group, the Frontier Group or the Spinco Group in connection with the Internal Restructuring, Distribution, or Merger shall cause a termination of employment of any Spinco Employee or shall cause any Spinco Employee to be entitled to COBRA coverage as of the Effective Time.

  • After the six month anniversary of the voluntary separation of any Unavailable Employee, Frontier or any member of the Frontier Group and Verizon or any member of the Verizon Group, as the case may be, may employ or retain as a contractor such individual in its sole discretion.

Frontier Group means: (i) the directors and officers of Frontier; and (ii) Nor-West Rotors Ltd.;

Frontier Group or "FINA GROUP" shall mean, unless the context otherwise clearly indicates, each and every member of the applicable group and their respective subsidiaries, parents, partnerships, affiliates or other person or entity owned or controlled by or which owns or controls any such member; provided, however, that such terms shall not include and this Agreement shall not be binding on Equitable Resources, Inc. or any subsidiary or affiliate thereof which are not signatory parties to this Agreement. Unless the context otherwise clearly indicates, words used in the singular include the plural, the plural includes the singular and any references to gender includes both the masculine and the feminine. The Designated Member of each group agrees by its execution hereof to act as an uncompensated administrator and facilitator for its group as an accommodation only. Each Designated Member agrees to attempt to carry out its obligations as Designated Members hereunder with ordinary care and diligence, but each party hereto understands and agrees that its Designated Member shall have no liability to any such party for any delays, omissions or other errors it may commit in relating any rights, duties or other obligations, including any individual party and/or group elections called for herein, for which such Designated Member is responsible for communicating to its group members, except as result from the gross negligence or willful misconduct of such Designated Member. In no event shall either Designated Member be liable to any member of its group in connection with any alleged failure to carry out its obligations as Designated Member for any special, indirect or consequential damages, including without limitation, lost profits. A Designated Member may resign at any time. Any group shall have the power to elect a new Designated Member at any time. Such election shall require twenty (20) days prior written notice and shall be decided by working interest majority. No such change in a group's Designated Member shall be effective upon the other parties hereto until such parties have received written notice of the change in such Designated Member, as evidenced by the signature and approval of all of the parties in the group changing its Designated Member.

Related to Frontier Group

  • Supplier Group means the Supplier and its Affiliates from time to time and "Supplier Group Company" means any company or corporation within the Supplier Group;

  • Participating Company Group means, at any point in time, all corporations collectively which are then Participating Companies.

  • Founding Companies has the meaning set forth in the third recital of this Agreement.

  • Customer Group means Customer and any of its Affiliates;

  • Partnership Group means the Partnership and its Subsidiaries treated as a single consolidated entity.

  • Combined Group means a group of corporations or other entities that files a Combined Return.

  • Corporate Group means the Corporation and its Subsidiaries treated as a single consolidated entity.
