Funding Documents definition

Funding Documents means, collectively, the Note Documents, the Equity Documents, and all other documents, instruments and agreements executed or delivered in connection with any of the foregoing as the same may be amended or otherwise modified from time to time.
Funding Documents means, collectively, this Agreement, the Perfection Documents, and any other document contemplated by this Agreement.
Funding Documents means the following: (i) a certificate of good standing for US Borrower from its state of incorporation and from all other US jurisdictions in which it does business, and, if applicable under the laws of any non-US jurisdiction, a certificate of good standing or the equivalent for Borrower and US Borrower from all non-US jurisdictions in which such entity does business, in each case where the failure to be qualified to do business would have a Material Adverse Effect; (ii) completed Schedules and Exhibits to this Agreement; (iii) executed originals of the following: (x) the Account Control Agreements, and any other documents executed in connection with the Secured Obligations or the transactions contemplated hereby, as the same may from time to time be amended, modified, supplemented or restated and (y) the Perfection Certificate; (iv) legal opinion of Lender’s counsel; (v) the insurance policies and/or endorsements required pursuant to Section 6.1 hereof; (vi) documents, releases, terminations, and other instruments as may be necessary or proper to release any creditor’s Lien in the Intellectual Property of Borrower including, without limitation, UCC financing statement amendments and appropriate filings with any appropriate register or authority in any jurisdiction; and (vii) and all other documents and instruments reasonably required by Lender to effectuate the transactions contemplated hereby or to create and perfect the Liens of Lender with respect to all Collateral, in all cases in form and substance reasonably acceptable to Lender.

Examples of Funding Documents in a sentence

  • As of the date hereof, this Agreement, all schedules and exhibits hereto, and all other Funding Documents constitute the entire agreement among the parties with respect to the subject matter hereof and thereof and supersede all prior or contemporaneous agreements, communications and understandings of such persons and entities, verbal or written, relating to the subject matter hereof and thereof, except as otherwise expressly provided herein.

  • Subject to the preceding sentence, this Agreement and the other Funding Documents shall be binding upon, inure to the benefit of, and be enforceable by Xxxxxxxx, Xxxxxx, and their respective successors and permitted assigns.

  • Lender shall apply payments and prepayments under this Agreement first to accrued and unpaid interest on the principal repaid or prepaid, then to outstanding principal and thereafter to any other amounts payable under this Agreement or any other Funding Documents.

  • Xxxxxxxx agrees to do such further acts and things and to execute and deliver such agreements, instruments, and other documents as Lender from time to time may reasonably request in connection with the administration, maintenance, enforcement, or adjudication of this Agreement and the other Funding Documents, each in such form and substance as may be reasonably acceptable to Lender.

  • This Agreement and the other Funding Documents do not violate the terms of or otherwise conflict with (a) the Merger Agreement or (b) except as would not reasonably be expected to result in a Material Adverse Effect, any other Contract binding on Borrower or any Collateral.


More Definitions of Funding Documents

Funding Documents means the Promissory Note, Deed of Trust, and Restrictive Covenant (if required), and all such other documents, instruments and agreements and all amendments, replacements, extensions and renewals of any of the foregoing.

Funding Documents means this Agreement, the Note, and each other agreement, instrument, or document evidencing, governing, and/or securing the transactions contemplated by this Agreement, the Note, and each other related agreement, instrument, or document, in each case as amended, restated, supplemented, and/or otherwise modified from time to time in accordance with the terms hereof. For the avoidance of doubt, the Merger Agreement shall not constitute a Funding Document.
Funding Documents has the meaning assigned to it in Appendix A to the MSA. “GAAP” means generally accepted accounting principles as defined by the American Institute of Certified Public Accountants or such other nationally recognized professional body, in effect from time to time in the United States of America, consistently applied.
