High Yield Notes Indenture definition

High Yield Notes Indenture means the indenture to be executed by the High Yield Notes Issuer and the trustee of the High Yield Notes pursuant to which the High Yield Notes are issued.
High Yield Notes Indenture means any indenture or other debt instrument pursuant to which any High Yield Notes (and no other notes) are issued by a HY Issuer.
High Yield Notes Indenture means (i) the indenture dated as of September 23, 2020 between, inter alia, the Borrower, Computershare Trust Company, N.A., as trustee, as amended, supplemented or otherwise modified or restated from time to time, or (ii) any indenture entered into by the Borrower governing the terms of any Notes issued in exchange for, or the proceeds of which are used to repurchase or redeem, any Notes then issued and outstanding.

  • The Borrower shall deliver or cause the delivery of unconditional guarantees of the Obligations by each of the Material Subsidiaries and of any other Restricted Party of the Borrower that has provided a guarantee pursuant to the High Yield Notes Indenture, as well as unconditional guarantees of the Other Secured Obligations by the Borrower and each of the Material Subsidiaries, in each case in favour of the Agent for the benefit of the Lenders.


More Definitions of High Yield Notes Indenture

High Yield Notes Indenture means the indenture constituting the High Yield Notes dated [·] 2016 and made between, among other, the Issuer and Deutsche Bank Trust Company Americas in force as at the issue date of the High Yield Notes;
High Yield Notes Indenture means the indenture dated as of March 16, 2017 between, inter alia, the Borrower, Computershare Trust Company, N.A. and Computershare Trust Company of Canada, as trustees, as amended, supplemented or otherwise modified or restated from time to time.
High Yield Notes Indenture means (i) prior to the High Yield Notes Refinancing, the Existing High Yield Notes Indenture and (ii) from and after the High Yield Notes Refinancing, the New High Yield Notes Indenture.
High Yield Notes Indenture means that certain Indenture, dated as of February 9, 2022, by and among the Xxxxxx Opco Issuer, the guarantors from time to time party thereto, Lucid Trustee Services Limited, as trustee and security agent, The Bank of New York Mellon, London Branch, as principal paying agent and calculation agent, and The Bank of New York Xxxxxx XX/NV, Dublin Branch, as registrar and transfer agent, governing the Xxxxxx Xxxx Issuer’s High Yield Notes, without giving effect to any supplements or amendments thereto after February 9, 2022 (other than any amendments or supplements that are permitted to be made thereunder without the consent of holders); provided that if the Xxxxxx Opco Issuer, Xxxxxx International a.s. or any of Xxxxxx International a.s.’s finance companies issues high yield notes subsequent to the Issue Date in a bona fide syndicated issuance through one or more investment banks of international standing to third-party investors, the “High Yield Notes Indenture” shall instead refer to the indenture governing the most recently issued series of such notes issued in such issuance, without giving effect to any supplements or amendments thereto (other than any amendments or supplements that are permitted to be made thereunder without the consent of holders) (such indenture, the “Successor High Yield Notes Indenture”). At any time when references in this Indenture to the High Yield Notes Indenture mean the Successor High Yield Notes Indenture, any references in this Indenture to sections or other provisions of the High Yield Notes Indenture shall refer to their successor sections or provisions in the Successor High Yield Notes Indenture, even if such sections or provisions appear under different section numbers or headings.
High Yield Notes Indenture means the indenture governing the High Yield Notes dated August 10, 2005 as supplemented by the First Supplemental Indenture dated February 2, 2006.
High Yield Notes Indenture means the indenture dated as of September 21, 2012 between, inter alia, the Borrower, Citibank, N.A. and Citi Trust Company Canada, as trustees, as amended, supplemented or otherwise modified or restated from time to time.
