HSAC Services definition

HSAC Services means the design, engineering, construction (excluding the RF Plant portion of the Cable System), installation, activation, beta testing, ISP and data network operation and management, sales and marketing, customer service and "call center" support, billing (as agreed to the parties on a case-by-case basis), pre- and post-Launch Date deployment and operation, and maintenance of Internet access and related services from the Data Subscriber's computer and cable modem through any Committed System to HSAC's Internet Portal including, without limitation, interfacing HSAC Network Equipment with Committed Systems to allow Data Subscribers, for a monthly fee or other charges, to browse
HSAC Services means the design, construction (excluding the RF/plant portion of the Cable System), installation, activation, operation, sales and marketing, customer service, billing, provision and maintenance of Internet access and related services from the Method of Access closest to the Subscriber (including, without limitation, a Subscriber's computer and any of its internal or external communication devices) through any Cable System or other Method of Access to an Internet Portal including, without limitation interfacing HSAC Network Equipment with Cable Systems to allow Subscribers, for a monthly fee or other charges, to browse the World Wide Web, read news groups, and receive and send electronic mail ("E-mail") and perform related activities.
HSAC Services or "Services" means the turnkey design, installation, activation, testing, operation, marketing, provision, customer service and "call center" support, billing, and maintenance of HSA's high-speed "data over cable" connection/transmission services from and between HSA's Internet ISP/portal and the HSA Network Equipment interfaced with the System that allows Data Subscribers, for a monthly fee and other applicable charges paid to HSAC, to browse the Internet/news groups, receive and send electronic mail (or "E-mail"), and perform related activities and use other data/digital applications.

  • Within forty-five (45) days of HSAC's receipt of an Additional System Notice, Operator and HSAC shall negotiate and agree in good faith upon a feasible, reasonable "critical path" timelines for each Committed System's Full HSAC Services Roll-Out, and memorialize such timeline in an Activation Schedule (as same may be amended from time to time as contemplated in Section 2.3 above to account for the Operator's taking of Attainment Measures and as the parties may otherwise agree in writing).

  • Notwithstanding anything set forth herein to the contrary, HSAC agrees that during the term of this Agreement the Operator's Share paid to Operator under paragraph E.1 above shall not be less than that paid to other MSO or Cable System operators with whom HSAC contracts to provide HSAC Services.

  • Subject to the provisions of Sections 10 and 11.1, Operator shall have the right, at no additional charge, to reproduce solely for its internal use, all manuals and documentation furnished by HSAC relating to the HSAC Services, regardless of whether such manual or documentation is copyrighted by HSAC.

  • However, as a condition to doing so, HSAC shall be obligated to obtain non-disturbance agreements in form and substance satisfactory to Operators from each such lender under which such lender agrees that, notwithstanding such lender's exercise of its rights as a secured creditor, such lender and its assigns shall not disturb, affect or interfere with HSAC's provision of the HSAC Services hereunder.

  • Subject to the procedures set forth in this Section 2, HSAC shall perform a Full HSAC Services Roll-Out on every such Committed System within the time frames specified for a particular Committed System in the Activation Schedule.

  • After initial activation of HSAC Services in a Committed System, the Operator may reasonably request upgrades to the HSAC Network Equipment, and HSAC shall make such upgrades at its expense within a reasonable time period, provided that such upgrades are commercially reasonable.

  • The Activation Schedule shall set out implementation milestones, including, without limitation: (i) that Operator shall notify HSAC when a particular Committed System conforms (or when the Operator expects such Committed System to conform if the taking of Attainment Measures is required) with the System Data Requirements, (ii) the Launch Date, and (iii) the date when the Full HSAC Services Roll-Out in each Committed System shall be completed.

  • Neither party shall unilaterally change HSAC Network Equipment or Operator's RF Plant in any way that renders a Committed System or the HSAC Services inoperable without consulting with the other party regarding the allocation of costs relating to such changes or upgrades.

  • Notwithstanding anything to the contrary set forth in this Agreement, the Data Subscribers and any Customer Lists shall be deemed to be owned solely by, and shall be solely the property of Operator, and all dial-up subscribers to the HSAC Services and related customer lists shall be deemed to be owned solely by, and shall be solely the property of, HSAC.

  • The procedure for processing subscriptions for HSAC Services, the invoicing of Data Subscribers, and the sharing of Gross Revenues shall be as set forth on EXHIBIT D attached hereto.

HSAC Services means, in "full turnkey" mode and unless otherwise agreed in the applicable Subcontract Agreement for a particular Designated System, the design, installation, activation, testing, operation, marketing, provision, customer service and "call center" support, customer acquisition and direct marketing, billing, and maintenance of HSAC's high-speed "data over cable" connection/transmission services from and between HSAC's Internet ISP/portal and the HSAC Equipment and Home Equipment Packages interfaced with the Designated System, as more fully described in Schedule A hereto.

Related to HSAC Services

  • Cloud Services means SAP’s then-current cloud services offered under and described in detail in the applicable SAP PartnerEdge Model.

  • BPO Services means Provider’s business process outsourcing services described in the applicable Solution Exhibit, whereby Provider assumes responsibility for Customers’ business processes.

  • Basic Services means housekeeping services, meals, nutritious snacks, laundry, and activities.

  • Beta Services means Xxxxxx services or functionality that may be made available to Customer to try at its option at no additional charge which is clearly designated as beta, pilot, limited release, developer preview, non-production, evaluation, or by a similar description.

  • Hospice services means palliative and supportive care and other services provided by an interdisciplinary team under the direction of an identifiable hospice administration to terminally ill hospice patients and their families to meet the physical, nutritional, emotional, social, spiritual, and special needs experienced during the final stages of illness, dying, and bereavement, as defined in Minnesota Statutes, § 144A.75, subd. 8, and includes the set of services as determined by the Medicare program under §1861(dd) of the Social Security Act and defined in 42 CFR § 418.3.

  • Extra Services means those services set forth in Schedule “B” that are requested by the Municipality for itself or on behalf of its citizens and provided by the Company in accordance with paragraph 7 of this Agreement;

  • Respite services means a temporary period of relief and support for individuals and their families provided in a variety of settings. The intent is to provide a safe environment with staff assistance for individuals who lack an adequate support system to address current issues related to a disability. Respite may be provided for a defined period of time; respite is either planned or provided in response to a crisis.

  • Pharmacy services means the practice of pharmacy as defined in chapter 18.64 RCW and includes any drugs or devices as defined in chapter 18.64 RCW.

  • Support Services the support services, as described in the Support Services Description, that We provide to You in respect of the Cloud Service.

  • Food services means the preparation and serving of nutritionally balanced meals and snacks.

  • Services plan means a written statement that describes the special education and related services the school district will provide to a parentally-placed child with a disability enrolled in a private school located in the district, including the location of the services and any transportation necessary, consistent with 34 CFR §§ 300.132, 300.137-139.

  • Homemaker services means the professionally directed or supervised simple household maintenance or management services provided by trained homemakers or individuals to families in their own homes.

  • Design Services means architect services, engineer services or landscape architect services.

  • Passenger Services means the Franchisee's railway passenger services as specified in any Timetable and/or Plan of the Day including those railway passenger services which the Franchisee may delegate or subcontract or otherwise secure through any other person from time to time in accordance with the Franchise Agreement;
