Idenix shall inspect and conduct audits of Third Party API Manufacturers as determined by the Joint Manufacturing Committee to confirm compliance with such Third Party API Manufacturers' obligations under its agreements pursuant hereto, including, without limitation, the Specifications, the Quality Assurances Requirements and HSE Requirements, and Novartis shall have the right to attend and observe all such inspections and audits performed by Idenix.

SUPPLIER shall establish and maintain a HSE audit program for its Approved Subcontractors, its suppliers and its supply chain generally in order to ensure SUPPLIER’s compliance with the HSE Requirements.
This includes access to equipment, as well as to any documents, records, reports, data, procedures, regulatory submissions, and any other information required to be maintained under the HSE Requirements, for the purposes of auditing compliance with the HSE Requirements.
